Overview
The Legal Department is responsible for overseeing all legal aspects of the organization's operations, ensuring compliance with applicable laws and regulations while minimizing risks. This includes drafting, reviewing, and negotiating contracts such as client agreements and supplier arrangements, managing corporate governance, and handling intellectual property matters. The legal team provides strategic counsel and supports decision-making across the organization to enable sustainable growth and innovation.
Responsibilities
As a Corporate Attorney, you will:
- Serve as a trusted legal advisor on critical business initiatives, partnering with executive leadership to support global growth.
- Provide strategic counsel on corporate governance, fundraising, commercial transactions, employment matters, and complex cross-border legal issues.
- Negotiate high-value agreements and support investor relations and capital raises.
- Collaborate with Finance, Sales, People, and Operations teams to structure deals, solve legal challenges, and protect the organization's interests.
- Develop and review investor presentations ensuring legal and financial accuracy.
- Advise on SEC compliance, disclosure obligations, and governance matters.
- Provide legal oversight on fundraising, shareholder communications, and investor inquiries.
- Structure, draft, and negotiate contracts for strategic alliances, joint ventures, and high-value deals.
- Ensure compliance with regulatory requirements and risk mitigation in partnership agreements.
- Collaborate on deal structuring, due diligence, and contract execution.
- Draft, review, and negotiate customer contracts, service agreements, and licensing deals.
- Align contract terms with business objectives while mitigating legal and financial risks.
- Work closely with sales and finance teams on liability, indemnity, and dispute resolution terms.
- Draft and negotiate employment agreements, executive compensation packages, and incentive plans.
- Ensure compliance with labor laws, non-compete clauses, and confidentiality agreements.
- Provide legal guidance on terminations, severance packages, and dispute resolution.
- Represent the organization in high-level meetings with investors, partners, and regulatory bodies.
- Provide real-time legal and strategic advice during key negotiations.
Requirements
- Juris Doctor (JD) or foreign equivalent degree.
- Minimum of 2 years of experience as a corporate attorney, corporate law associate, or in-house counsel.
- Admission to practice law in any U.S. state.
- Ability to travel domestically quarterly for 3-4 days to the headquarters in Atlanta, Georgia.
Special Skills
Candidates must have experience in:
- Counseling venture capital funds and venture-backed startups in Industrial Tech, AI, FinTech, and Digital Assets industries, including overseeing legal due diligence and transactional processes from early-stage deal negotiation to closing.
- Advising on complex international transactions and coordinating with foreign local counsel in jurisdictions such as the Cayman Islands, Brazil, Mexico, and Canada.
- Drafting the full range of National Venture Capital Association governance documents.
- Drafting, negotiating, and reviewing transaction documents for venture capital funds, private equity firms, and growth-stage companies.
- Performing buy-side and sell-side legal due diligence related to mergers and divestitures.
- Assisting with capital raising activities including priced equity rounds (pre-Seed, Series A, B, and C), secondary sales, and early-stage financings via convertible notes and SAFE agreements.
- Analyzing corporate governance issues, including those involving venture-backed companies in distressed situations or down rounds.
