Overview
An experienced Investment Funds Attorney is sought to support a global law firm client on an internal project. This is a flexible, multi-month contract engagement with remote work allowed anywhere in the United States.
Responsibilities
- Advise on the formation, structuring, and ongoing operation of private investment funds, including private equity, venture capital, hedge funds, real estate funds, and other pooled investment vehicles
- Draft and negotiate fund governing documents such as limited partnership agreements, subscription agreements, side letters, private placement memoranda, and investment management agreements
- Counsel clients on regulatory obligations under the Investment Advisers Act, securities law, and other applicable regulations for fund managers and advisers
Requirements
- Minimum 5 years of experience working on Investment Funds matters at a large or mid-sized law firm
- Extensive experience advising on private investment fund formation and operation
- Proven ability to draft and negotiate fund governing documents
- Strong knowledge of regulatory frameworks governing investment advisers and fund managers
- Licensed and in good standing to practice law in state of residence
- Strong attention to detail
- Outstanding professional references

Compensation & Benefits
- Annualized pay range: $200,000 to $220,000 or more (full-time equivalent), with pay determined by experience, qualifications, credentials, location, market factors, and candidate preference
