Overview
This role is for a Corporate Attorney specializing in Mergers & Acquisitions, Corporate Transactions, Business Law, and AI-driven businesses. The position is a 1099 independent contractor opportunity, fully remote and flexible, with potential for partnership and practice-building.
The attorney will advise a range of clients from startups to middle-market companies, focusing on legal issues related to Artificial Intelligence, emerging technologies, corporate governance, and business growth.
Responsibilities
- Advise clients on mergers & acquisitions, business formations, corporate governance, and commercial transactions.
- Draft and negotiate purchase agreements, operating agreements, shareholder agreements, and other business contracts.
- Counsel AI startups, technology companies, founders, investors, and growing businesses on corporate legal matters.
- Stay current on emerging AI regulations, governance, privacy, and technology-related legal developments.
- Collaborate with teams across AI, tax, wealth management, consulting, and finance to deliver integrated client solutions.
- Develop and grow client relationships and practice with support in business development, marketing, and operations.
Requirements
- Juris Doctor (J.D.) degree and active U.S. Bar license.
- Minimum of 6 years of experience in corporate law.
- Experience in mergers & acquisitions, corporate transactions, commercial contracts, or business law.
- Interest in Artificial Intelligence, emerging technology, and innovation.
- Entrepreneurial mindset with strong relationship-building and business development skills.
