Corporate Attorney - M&A (Remote)

Overview

Contract opportunity for a Corporate Attorney specializing in Mergers and Acquisitions (M&A). This remote role allows you to work from anywhere and offers compensation between $40 and $70 per hour.

Responsibilities

• Draft, review, and negotiate merger and acquisition agreements, asset purchase agreements, and related transaction documents.
• Conduct legal due diligence on target companies, identifying risks and liabilities relevant to transactions.
• Advise on corporate governance matters, including board and shareholder meetings, and compliance with state and federal regulations.
• Structure and document corporate reorganizations, joint ventures, and strategic alliances.
• Collaborate with internal stakeholders, external counsel, and regulatory bodies to facilitate smooth transaction execution.

Requirements

• Juris Doctor (JD) degree from an accredited law school.
• Active bar membership in good standing.
• Minimum of 5 years of experience in corporate law, focusing on mergers and acquisitions.
• Strong drafting and negotiation skills for transactional documents and agreements.
• Proficiency with legal research tools and databases such as Westlaw or LexisNexis.
• Ability to manage multiple projects simultaneously with minimal supervision.
