Overview
A leading organization in the Finance & Insurance sector is seeking a Corporate Counsel to join their team. This role involves delivering key outcomes for customers and stakeholders, collaborating across functions, and taking ownership of priorities. Location: Remote (U.S. based candidates only; no visa sponsorship available)
Compensation: $150,000 – $220,000 annually
Responsibilities
- Evaluate and structure corporate transactions, including mergers and acquisitions (M&A) and venture investments
- Support cross-functional legal teams with transaction diligence and integration
- Lead cross-functional teams and manage outside counsel during transactions
- Provide legal advice on employee equity and real estate transactions
- Assist with corporate governance and liquidity management matters
Requirements
- Juris Doctorate (JD) degree from an accredited law school
- Minimum of 5 years of corporate legal experience, including M&A and investments
- Proven ability to manage complex transactions independently
- Strong written and verbal communication skills
- Ability to collaborate effectively with senior management and cross-functional teams
- Comfortable managing a high volume of tasks and adapting to shifting priorities
- Highly organized, detail-oriented, resourceful, and proactive in execution
Preferred Skills and Experience
- Expertise in corporate governance
- Experience with equity compensation programs
- Familiarity with financial technology and payments industry
- In-house legal experience
- Proficiency with contract management and legal research tools
- Knowledge of data privacy compliance frameworks such as GDPR and CCPA
- Experience with collaboration platforms like Slack and Microsoft Teams
- Understanding of financial modeling software
