Overview
This role offers a generalist legal position with significant ownership across multiple areas including commercial, corporate, capital markets, M&A, and employment law. The legal counsel will work closely with senior attorneys and cross-functional leaders, providing trusted legal guidance that influences key business decisions. The organization is preparing for an IPO, expanding internationally, and developing an asset-backed securities (ABS) platform, presenting complex and growth-oriented legal challenges.
Responsibilities
- Manage the commercial contract function by negotiating vendor agreements, technology and data integrations, marketing partnerships, and banking relationships.
- Develop and maintain contract templates and playbooks, leveraging AI tools to improve efficiency.
- Oversee corporate governance including board and committee materials, consents, minutes, and corporate records for the company and subsidiaries.
- Support capitalization table management, equity administration, and governance activities necessary for IPO readiness.
- Lead capital markets transactions, including equity and debt financings from term sheet to closing, and assist in building the ABS platform.
- Manage ongoing covenant compliance and lender diligence.
- Participate in domestic and cross-border M&A transactions, including drafting, negotiation, due diligence, and post-closing integration.
- Advise on labor and employment matters to reduce legal exposure and support equity compensation management such as option grants and potential RSU transitions.
- Develop international legal frameworks to support cross-border expansion.
Requirements
- Juris Doctor (J.D.) degree and active bar admission in at least one U.S. state.
- 4–6 years of legal experience with meaningful expertise in at least two or three of the following areas: commercial contracts, corporate governance, capital markets, M&A, or employment law.
- Proven ability to independently manage workstreams and exercise sound judgment.
- Experience working cross-functionally and communicating complex legal concepts clearly to non-lawyers.
- Strong written and verbal communication skills with precision and clarity.
- Genuine interest in fintech or consumer finance, with a willingness to develop expertise.
- Familiarity or comfort with AI-assisted legal workflows and contract automation tools is a plus.
