Overview

This role involves providing comprehensive legal support across multiple business units, focusing on commercial transactions, contract management, legal operations, and strategic legal initiatives. The Corporate Counsel will serve as the primary legal contact for Supply Chain and IT departments while also supporting commercial teams. Collaboration with internal stakeholders such as Supply Chain, IT, Sales, Engineering, and Executive Leadership is essential to deliver practical legal advice, manage contract workflows, and drive process improvements within the legal function.

Responsibilities

  • Provide in-house legal counsel on a broad range of commercial and operational matters.
  • Draft, review, and negotiate various agreements including supply, purchase, distribution, development, consulting, licensing, real estate leases, IT contracts (SaaS, hardware, services), and quality agreements related to medical device production.
  • Advise on non-disclosure agreements, amendments, and non-standard agreements.
  • Analyze and interpret existing company agreements to provide guidance.
  • Ensure compliance with applicable laws, regulations, and company policies.
  • Support due diligence and integration efforts related to mergers and acquisitions.
  • Collaborate with internal clients, customers, vendors, and outside counsel as needed.
  • Manage contract workflows and oversee tracking systems.
  • Lead departmental and cross-functional initiatives to improve enterprise contract management capabilities, including optimizing contract-related technologies in partnership with IT and other departments.
  • Identify opportunities to enhance legal operations through improved contract forms, templates, playbooks, and automation of select processes.
  • Ensure proper storage and communication of signed contracts to relevant stakeholders.
  • Adhere to all safety, environmental, security, and quality requirements.

Requirements

  • Juris Doctor (JD) or equivalent law degree from an accredited institution.
  • Current membership in good standing of a bar association in a U.S. State.
  • 5-8 years of experience as a practicing transactional attorney in a mid-sized to major law firm and/or in-house legal department, with a focus on commercial contracts.
  • Strong background in contract drafting and negotiation.
  • Excellent verbal and written communication and interpersonal skills.
  • Strong attention to detail and sound judgment.
  • Critical thinking and analytical skills.
  • Ability to work independently and contribute effectively to cross-functional teams.
  • Excellent organizational skills with the ability to manage a high volume of contracts and multiple projects simultaneously, handle changing priorities, and meet deadlines in a fast-paced environment.
  • Highly responsive, proactive, and solutions-oriented approach.

Preferred Qualifications

  • Experience in manufacturing.
  • Experience in FDA-regulated or other regulated industries.
  • Experience with commercial Contract Management Systems.
