Overview
The organization is seeking an experienced Corporate Counsel to join its growing Legal team. This role provides legal counsel across complex matters, including mergers & acquisitions, corporate governance and entity management, regulatory compliance, and HIPAA/privacy support.
As Corporate Counsel, you will partner with the Chief Privacy Officer on privacy-related legal issues, supporting strategic leadership in healthcare data protection. The role also collaborates with the Associate General Counsel – Shared Services and other attorneys to deliver timely, actionable, and responsive legal services to the board of directors, executive leadership, management, and other stakeholders.
Responsibilities
- Provide day-to-day legal support and general counseling for enterprise shared services, including corporate governance, board and subsidiary/entity management, privacy, employment, intellectual property, and other legal matters.
- Support the corporate development team on mergers, acquisitions, and other corporate transactions, including transaction-related drafting, negotiation, and diligence support.
- Lead privacy strategy initiatives with the Chief Privacy Officer and privacy program on HIPAA and other privacy and data security matters, including policy and procedure development, privacy program development, incident and breach analysis, and business associate arrangements.
- Review, track, and monitor legislation and regulations impacting services and operations, and provide timely analysis and summaries to leadership.
- Provide occasional support on vendor, IT, and other commercial agreements as needed (with primary drafting and negotiation handled elsewhere within the Legal Department).
- Use generative artificial intelligence tools to automate workflows, enhance efficiency, and improve the quality of legal work.
- Build strong working relationships with business clients and legal/compliance partners.
Requirements
- Juris Doctor (J.D.) from an ABA-accredited law school required.
- Licensure: Active admission to at least one state bar and in good standing required.
- 2-5 years of experience in corporate, healthcare, and/or privacy-focused legal practice, either in-house or with a law firm.
- Demonstrated experience supporting corporate governance, entity management, mergers and acquisitions, and other corporate transactions.
- Strong legal analysis, research, drafting, negotiation, and problem-solving skills.
- Experience advising on healthcare regulatory, compliance, privacy, and data protection matters, including HIPAA, preferred.
- Proficiency using generative AI tools to enhance legal research, drafting, workflow efficiency, and productivity.
- Highly organized with exceptional attention to detail and the ability to manage multiple priorities in a fast-paced environment.
- Self-starter with sound judgment, strong decision-making skills, and the ability to work independently while collaborating effectively with cross-functional stakeholders.
- Proficient in Microsoft Office applications, including Word, Excel, Outlook, and PowerPoint.
Preferred Qualifications
- Experience advising healthcare organizations, including healthcare providers, health plans, management services organizations (MSOs), or other regulated healthcare entities preferred.
