Overview

A premier engineering and consulting firm specializing in hyperscale data centers, advanced infrastructure, and high-performance building systems is seeking a Corporate Counsel and Risk Manager. This remote position (United States) involves leading enterprise risk management, contract and insurance risk oversight, and compliance governance across the organization.

Responsibilities

Enterprise Risk Management

  • Develop, implement, and continuously improve the Enterprise Risk Management (ERM) framework.
  • Conduct enterprise-wide risk assessments covering operational, financial, contractual, regulatory, and safety-related functions.
  • Identify emerging risks related to growth, geographic expansion, regulatory changes, and service diversification.
  • Analyze internal/external data, industry trends, and regulatory developments to evaluate exposure.
  • Develop and monitor mitigation strategies and risk controls.
  • Establish risk tolerance thresholds, review standards, and escalation protocols.
  • Provide executive leadership with forward-looking risk analysis and recommendations.

Operational Risk and Safety Integration

  • Collaborate with Safety leadership to integrate safety performance indicators into risk assessments.
  • Analyze incident, claims, near-miss, and compliance data to identify trends and improvement opportunities.
  • Evaluate operational controls and recommend enhancements.
  • Support operational risk reviews, including virtual and onsite assessments.
  • Ensure alignment between safety performance, project delivery, and enterprise risk priorities.

Governance, Compliance, and Business Continuity

  • Develop and maintain corporate risk management and compliance policies.
  • Monitor adherence to regulatory requirements and internal governance standards.
  • Evaluate internal controls and identify compliance gaps.
  • Participate in Business Continuity and Disaster Recovery programs.
  • Prepare risk reports and presentations for Executive Leadership and Board review.
  • Escalate material compliance issues and significant risks as appropriate.

Contract and Insurance Risk Oversight

  • Review and assess contractual risks across client, vendor, consultant, technology, benefits, insurance, construction, design, product, and manufacturing agreements.
  • Partner with Contracts Team to evaluate high-risk provisions and insurance requirements.
  • Lead administration of corporate insurance programs including renewals, endorsements, coverage modifications, and claims management.
  • Coordinate with brokers, carriers, operations, and project teams to ensure risk transfer and insurance compliance.
  • Oversee certificates of insurance, subcontractor compliance, and client insurance requirements.
  • Monitor claims activity and emerging exposure trends; recommend corrective actions.
  • Support administration of company vehicle, travel, and driving-related risk programs.

Risk Reporting and Culture

  • Prepare executive-level dashboards, reports, and risk assessments.
  • Support organizational risk awareness and compliance training initiatives.
  • Conduct risk surveys and communicate findings to leadership.
  • Foster a proactive culture of accountability, compliance, safety, and risk awareness.

Additional Responsibilities

  • Perform other duties and special projects as assigned.

Requirements

Knowledge

  • Advanced knowledge of enterprise risk management frameworks, governance models, and internal controls.
  • Expertise in contract and insurance law, commercial risk allocation.
  • Familiarity with auditing methodologies and compliance monitoring.
  • Understanding of OSHA and multi-state regulatory requirements.
  • Knowledge of insurance coverage structures and risk transfer strategies.
  • Experience with business continuity and disaster recovery planning.
  • Operational and financial risk management principles.

Skills and Abilities

  • Ability to conduct complex enterprise-wide risk assessments and develop mitigation strategies.
  • Strong analytical skills to identify trends, emerging risks, and systemic issues.
  • Experience preparing executive-level reports, dashboards, and presentations.
  • Ability to influence stakeholders and communicate complex risk concepts clearly.
  • Skill in developing, interpreting, and refining corporate policies and procedures.
  • Strong organizational and project management skills.
  • Ability to work independently in a fully remote environment.

Technical Proficiency

  • Microsoft Office Suite (Excel, Word, Outlook, PowerPoint, Teams, SharePoint).
  • Adobe Acrobat and/or Bluebeam.
  • Power BI or comparable business intelligence platforms.
  • Risk management, reporting, and data analytics systems.
  • AI-enabled tools and emerging technologies for operational efficiency and risk visibility.

Physical Requirements

  • Frequently remain stationary while working.
  • Frequently move through office, client, and other business environments.
  • Occasionally move equipment up to 25 pounds.

Travel Requirements

  • Up to 5% travel within the United States for client meetings, business development, conferences, training, and other functions.

Education and Experience

  • Juris Doctor (JD) from an accredited law school.
  • Admission to practice law in at least one U.S. jurisdiction.
  • Preferred undergraduate degree in business, finance, accounting, economics, construction, engineering, or related field.
  • Minimum of eight (8) years of experience in contract law, insurance law, risk management, or related fields.
  • Prior experience in construction, engineering, or design industries.

Compensation and Benefits

  • Salary range: $150,000 - $190,000 per year (Remote, United States).
