Overview
This role supports the Legal Department by structuring, drafting, and negotiating commercial agreements that drive the organization's go-to-market efforts. Reporting to the Chief Legal Officer, the Commercial Counsel provides practical, business-oriented legal guidance to Sales, Marketing, and Customer Experience teams, enabling them to operate efficiently while protecting the organization.
Responsibilities
- Structure, draft, negotiate, and review commercial contracts, primarily focusing on agreements for delivering PEO, payroll, and other HR services through a tech-enabled platform.
- Support Sales, Marketing, and Customer Experience teams with customer contracting, managing a high volume of customer agreements and assisting with RFP submissions.
- Develop, update, and maintain standard form agreements, templates, and negotiation playbooks aligned with internal policies and applicable laws.
- Provide actionable legal advice and recommendations on commercial and contractual matters to management.
- Deliver training to internal teams on contracting fundamentals and relevant legal topics.
- Assist in developing corporate policies, systems, and procedures to streamline the contracting process.
- Collaborate with and manage outside counsel as needed.
- Perform other duties as assigned.
Requirements
- Juris Doctor (JD) degree and active license to practice law in good standing.
- Minimum of 5 years of experience drafting and negotiating commercial and technology-related agreements.
- At least 3 years of in-house legal experience.
- Experience supporting enterprise sales, marketing, and customer experience teams, including managing a high volume of customer contracts and supporting RFP submissions.
- Strong transactional background with the ability to independently draft, negotiate, and manage a wide range of agreements.
- Practical, business-oriented problem-solving skills with the ability to provide clear, concise, and creative legal advice within business timelines.
- Ability to work autonomously while collaborating effectively with Legal, Compliance, and internal business partners.
- Ability to thrive in a fast-changing environment and meet time-sensitive deadlines.

- Familiarity with AI-enabled services, digital self-service, intelligent routing, knowledge tools, and automation.
- Location: Remote role requiring residence in either Eastern or Central Time Zones.
- Occasional travel may be required for meetings or special events.
Preferred Qualifications
- Experience in PEO, EOR, ASO, payroll provider, HCM platform, HR outsourcing, or benefits administration organizations.
- Experience supporting companies with health insurance, benefits, and ERISA-related agreements.
- Experience integrating teams, processes, or systems following mergers, acquisitions, or major organizational transformations.
- Experience in growth-stage, private equity-backed, or operationally complex organizations.
