Overview

This role involves managing a broad range of corporate legal functions, with a primary focus on contract lifecycle management, intellectual property, and corporate governance. The legal advisor will oversee due diligence for acquisitions and coordinate with external counsel to address operational and litigation matters.

Responsibilities

  • Draft, review, and negotiate commercial contracts, subcontract agreements, leases, non-disclosure agreements, professional services agreements, vendor agreements, and other contracts related to company operations.
  • Perform and coordinate due diligence and prepare legal documents for acquisitions and dispositions.
  • Manage the company’s patent and trademark portfolio with assistance from outside counsel.
  • Assist with corporate governance matters, including Board meetings, review of Board and Committee charters, drafting company policies, and coordinating with finance and internal audit on SOX and disclosure-related matters.
  • Administer and maintain the company’s contract database.
  • Coordinate and manage outside counsel regarding litigation matters related to commercial disputes.

Requirements

  • Must be 18 years of age or older.
  • Authorization to work in the United States for this employer.
  • JD degree from an ABA-accredited law school.
  • Member of the Florida Bar or authorized in-house counsel by the Florida Bar.
  • Minimum of 3 years of experience in corporate legal practice, preferably with both law firm and in-house experience.
  • Demonstrated experience drafting and negotiating complex commercial contracts.
  • Excellent organizational skills with the ability to manage multiple ongoing projects.
  • Strong attention to detail and ability to work independently, within a team, and with external partners and vendors.
  • Strong interpersonal skills to interact with personnel at all levels of the organization.
  • Ability to thrive in a fast-paced environment.

Physical Abilities & Exposures

  • Routinely engage in standard office activities such as standing, sitting, and using computers for extended periods.
  • Occasional domestic travel up to 10% to attend team meetings or training.
