Overview

The Corporate Counsel, Enterprise Contracts is the primary in-house legal partner responsible for drafting, reviewing, negotiating, and managing a wide range of commercial contracts supporting pharmacy and healthcare operations. This role ensures agreements are legally sound, compliant with healthcare regulations, and aligned with business objectives. It involves close collaboration with operations, compliance, finance, HR, IT, and leadership to facilitate efficient contract execution while managing legal and regulatory risks in a highly regulated environment.

Responsibilities

  • Draft, review, and negotiate various healthcare and commercial agreements, including:
    • Non-disclosure agreements (NDAs)
    • Business Associate Agreements (BAAs)
    • Vendor and service agreements
    • Statements of work and amendments
    • Pharmacy services agreements
    • Data use agreements (DUAs)
    • Pharmacy Network Agreements
  • Ensure contracts address healthcare regulatory, privacy, data security, reimbursement, and operational risks appropriately.
  • Support timely contract execution balancing legal risk and business needs.
  • Maintain consistency with approved contract templates and standards.
  • Ensure contracts comply with healthcare laws and regulations such as HIPAA/HITECH and state pharmacy requirements.
  • Collaborate with Compliance, Privacy, and Security teams on contractual requirements related to protected health information (PHI), data security, and confidentiality.
  • Identify legal and regulatory risks early and recommend mitigation strategies.
  • Serve as a trusted legal advisor to cross-functional teams including pharmacy operations, clinical, procurement, IT, HR, finance, and leadership.
  • Translate complex legal and regulatory requirements into clear guidance for non-legal stakeholders.
  • Support complex negotiations with key vendors, partners, and customers.
  • Advise on contract-related issues impacting healthcare operations and patient services.
  • Develop and improve healthcare-specific contract templates, clauses, and negotiation playbooks.
  • Streamline contracting workflows to improve turnaround times while maintaining compliance.
  • Manage and mentor direct reports, ensuring confidentiality and adherence to company policies.
  • Provide guidance on employee promotions, transfers, and dismissals.
  • Perform other duties as assigned.

Requirements

  • Juris Doctor (JD) from an accredited law school.
  • Active license to practice law in at least one U.S. jurisdiction.
  • Minimum 7 years of experience in commercial contracts, in-house or law firm.
  • Prior experience in retail, mail order or specialty pharmacy, PBM, pharmaceutical, managed healthcare, or other regulated industries.
  • Working knowledge of healthcare regulatory frameworks including HIPAA/HITECH and state pharmacy regulations.
  • Experience drafting and negotiating BAAs, DUAs, and healthcare service agreements.
  • Experience partnering with CEOs and executive leadership teams.
  • Strong healthcare and commercial contract drafting and negotiation skills.
  • Excellent written and verbal communication skills with ability to convey complex legal concepts clearly.
  • Ability to exercise sound judgment, maintain confidentiality, and act with discretion and diplomacy.

Work Environment

  • Home-based office environment with minimal exposure to noise or adverse conditions.
  • Occasional local and/or overnight travel involving exposure to heat, cold, and inclement weather.
  • Transportation for travel typically includes automobile and airplane.
  • Ability to sit for prolonged periods.
