Overview
A high-growth fintech organization is seeking a Corporate Counsel to join its expanding Legal team. This role involves managing a broad range of corporate, securities, and governance matters as the company scales. The position reports to the Assistant General Counsel, Corporate & Commercial, and offers the opportunity to contribute to commercial contracting, incident management, and regulatory issues. This is a newly created role with evolving responsibilities.
Responsibilities
- Manage corporate governance for the organization and its subsidiaries, including board and stockholder actions, entity maintenance, and record keeping
- Prepare and support board and committee materials; coordinate logistics and distribution with the Finance team
- Oversee legal aspects of cap table and equity matters, including option grants, 409A coordination, executive compensation, and equity refresh cycles, collaborating closely with Finance and People teams
- Support corporate finance and transactional activities such as equity, secondary transactions, debt, convertibles, and other financing arrangements
- Develop and maintain governance and transactional playbooks, templates, and processes to scale legal operations
- Assist with IPO readiness activities
- Manage outside counsel on corporate and securities matters
- Lead negotiation and execution of commercial agreements including NDAs, vendor agreements, and data processing agreements
- Support mergers and acquisitions and other strategic transactions as needed
Requirements
- Juris Doctor (J.D.) from an ABA-accredited law school
- Active membership in good standing of at least one U.S. state bar
- Minimum of 4 years of corporate and securities experience at a top-tier law firm, including at least one in-house role, preferably at a private, high-growth company
- Experience with a variety of corporate transactions including equity, secondary transactions, debt, and other complex financing arrangements
- Strong understanding of cap table mechanics, equity administration, and corporate governance for multi-entity structures
- Experience drafting and negotiating commercial contracts such as NDAs, vendor agreements, and data processing agreements
- Pragmatic and business-minded approach; risk-aware and able to communicate clearly with legal and non-legal stakeholders
Preferred Qualifications
- Public company reporting and securities compliance experience
- Experience integrating AI tools into legal work, including contracting, transaction management, and legal operations
- Background in regulated industries such as fintech, financial services, or healthcare
Compensation & Benefits
- Base salary range: $190,000 - $215,000, determined by geographic location within the U.S., relevant skills, and experience
