Overview

The organization is seeking a Corporate Counsel to join its Legal Team. This role primarily supports U.S. healthcare and technology business units, with work across technology contracts and software licensing. The position reports to the Associate General Counsel, Privacy.

This position is remote and eligible for anyone in the U.S.

Responsibilities

  • Handle legal matters for assigned healthcare business units.
  • Draft, review, and negotiate commercial agreements and contracts for customers and vendors, including:
    • License agreements
    • Reseller agreements
    • Service agreements
    • Technology development agreements
    • Non-disclosure agreements
  • Lead, from beginning to end, the structuring, drafting, reviewing, negotiating, and closing of corporate and commercial transactions (based on experience level).
  • Create and maintain template agreements based on business and legal requirements.
  • Partner with Legal & Compliance and cross-functional teams to identify needs, advise and counsel internal clients, and support business growth.
  • Represent business unit needs and concerns in interactions with customers, vendors, and other partners.
  • Coordinate with external counsel on negotiations and dispute resolution.
  • Support assigned legal matters and proactively review and identify legal trends and risks in response to the changing regulatory environment.

Requirements

  • 4+ years of experience from a well-respected firm or company.
  • Strong understanding of legal issues arising under:
    • Technology contracts
    • Software license agreements
    • U.S. healthcare laws, including HIPAA
  • Knowledge of U.S. healthcare law, including HIPAA, data privacy, and security.
  • Familiarity with reviewing and drafting technology/software license agreements.
  • Ability to work independently and as part of a team, using excellent judgment.
  • Strong interpersonal skills and ability to provide sound, clear, and succinct legal advice and analysis to business units and the Legal team (verbal and written).
  • Ability to manage a diverse scope of matters, issues, and projects simultaneously.
  • JD degree.
  • Member in good standing of a State Bar.

Preferred Qualifications

  • International contracting experience; experience with GDPR, UK, and other international privacy laws is a plus.
  • International medical device regulatory and/or contracting experience is a plus.
  • Familiarity with the CCPA and other State privacy and breach notification laws is a plus.

Compensation & Benefits

  • Salary range: $90,000 - 130,000 per year
