Overview
A technology company specializing in smartphone-based access control systems is seeking a skilled Corporate Counsel to serve as the primary in-house legal resource. This role reports to the Chief Customer Officer and provides practical, business-oriented legal support across commercial contracts, partnerships, compliance, privacy, product development, and corporate governance.
This is an excellent opportunity for a motivated mid-level attorney comfortable working independently in a fast-paced environment, managing day-to-day legal matters while expanding their scope and judgment.
Responsibilities
- Draft, review, and negotiate commercial agreements including customer contracts, vendor agreements, reseller and partner agreements, and NDAs, ensuring alignment with business goals and protection of company interests.
- Collaborate with product, sales, finance, HR, business development, and engineering teams to provide practical legal guidance supporting business execution.
- Advise on intellectual property matters such as patents, trademarks, and copyrights.
- Develop and maintain contract templates, playbooks, fallback language, and standard legal processes.
- Provide legal advice related to product development, feature launches, AI usage, data practices, and privacy-by-design.
- Ensure compliance with applicable laws and regulations including privacy (e.g., GDPR, CCPA), data security, consumer protection, and employment laws.
- Advise on employment policies, equity programs, and workplace compliance.
- Identify, assess, and help mitigate legal and business risks across the organization.
- Support corporate governance activities including board materials, corporate filings, entity management, shareholder relations, and internal approvals.
- Serve as the primary contact for outside counsel and manage legal matters within defined budgets.
- Improve legal operations including contract workflows and document management.
- Provide training and guidance to internal stakeholders on legal best practices.
Requirements
- J.D. from an accredited law school and current license in good standing with at least one U.S. state bar (New York or eligibility for in-house counsel registration preferred).
- 3–7 years of post-JD legal experience with significant commercial contracting experience; prior in-house or technology/SaaS experience preferred.
- Ability to manage contracts independently and exercise sound judgment on routine and moderately complex matters.
- Working knowledge of privacy and data security frameworks such as GDPR and CCPA/CPRA.
- Exposure to international or cross-border legal matters preferred.
- Comfortable advising on a broad range of legal disciplines including commercial, product, corporate, compliance, and employment.
- Strong communication skills with the ability to translate complex legal issues into clear, business-friendly guidance.
- Highly organized, proactive, and capable of managing multiple priorities in a fast-paced environment.
