Overview
The organization is seeking a Business-minded Corporate Counsel to join its collaborative global legal team. This role supports the Go-To-Market (GTM) and People functions, as well as broader corporate and operational initiatives across the Asia-Pacific (APAC) region.
This is a permanent, full-time position. The role is remote eligible and based in Sydney.
Responsibilities
- Negotiate, draft, and review commercial agreements involving:
- Online subscription software
- Data privacy and processing
- Intellectual property use
- Professional services
- Partner with global Legal and People teams on employment law matters.
- Provide strategic and practical legal advice on corporate governance and other legal projects as business needs evolve.
- Collaborate with legal team members across international office locations, including both attorney and non-attorney personnel.
- Identify legal risks and issues and provide practical, commercially appropriate solutions to manage and mitigate them.
- Contribute to continuous improvement of:
- Document templates
- Alternate language playbooks
- Internal resource documents
- Deliver training and guidance to employees on legal issues, best practices, and company policies.
- Support general business operations by responding to requests for assistance from non-sales personnel as needed.
- Complete special projects as requested.
- Perform other duties as required.
Requirements
- Admitted to practise in an Australian jurisdiction, with a current or readily obtainable practising certificate.
- 5+ years post-qualification experience, ideally combining private practice and in-house experience.
- 5+ years of experience drafting and negotiating technology contracts, including:
- Software licenses
- Software-as-a-service (SaaS) agreements
- Software development agreements
- IT professional services agreements
- Experience working directly with sales representatives and advising business teams on issues relevant to customer contracts.
- Substantive experience handling employment matters.
- Ability to analyse problems and recommend practical solutions that balance legal and business risks.
- Skilled at building strong working relationships with other business units despite competing priorities and interests.
- Aptitude and disposition to uphold the organization’s business standards and risk tolerance.
- Excellent interpersonal skills, business judgment, and strategic thinking.
- Flexible with a service-oriented mentality.
- Strong attention to detail.
- Ability to operate in a fast-paced environment focused on excellence, execution, and teamwork.
- Ability to monitor legal and regulatory developments relevant to the organization.
Preferred Qualifications
- In-house legal department experience at a cloud software company.
- Experience working across Asia Pacific and Japan.
