Overview
This role involves building and leading in-house corporate legal support across commercial contracting, financing, employment/HR, corporate governance, and select IP/trademark matters. The position is designed as a “build” role—creating templates, processes, and playbooks that do not yet exist—and operating with autonomy supported by outside counsel.
Responsibilities
- Commercial contracts (own end-to-end): Draft and negotiate client and law-firm agreements, vendor and supplier contracts, NDAs, business associate agreements, and SaaS/technology agreements; build templates that enable routine deals to be turned around same-day.
- Financing and commercial financing (own end-to-end): Handle funding and advance agreements, working-capital-adjacent contracts, and intercompany terms. For larger credit facilities and capital-markets matters, partner with the CFO to review term sheets and loan agreements and refine redlines before documents are routed to outside counsel.
- Employment and HR legal work (own and advise): Support policies, offer and separation documents, restrictive-covenant drafting and strategy, and day-to-day employment questions in partnership with HR leadership. Serve as the internal advocate with outside employment counsel by participating in complex matters and translating legal reasoning into a practical internal path forward.
- Corporate governance: Develop deep working fluency in the operating agreement, shareholder agreements, and cap table. Serve as an internal point of reference on governance questions, including board versus shareholder decision authority, shareholder classes, entity structure maintenance, and board/resolution support.
- Intellectual property and trademark protection: Handle basic IP and trademark protection, including for the organization’s technology products.
- Outside counsel management (single point of contact): Scope and manage outside counsel engagements and spend, consolidate the panel, and gradually pull routine work in-house.
Requirements
- Approximately 4–7 years of corporate legal experience, ideally from an AmLaw 100 firm or a setting with comparable rigor and training.
- J.D. and active bar membership in good standing.
- Corporate, finance, or transactional background: Experience drafting and negotiating financing and commercial agreements, not just reviewing documents.
- Prior experience at a private-equity-backed company and M&A Transactions.
- Strong corporate fundamentals with the range to operate as a generalist across contracts, employment, and governance, including the judgment to handle matters directly versus involve the CFO or outside counsel.
- Bias toward action with comfort working toward fast turnaround based on stakes.
- Comfort operating autonomously as the only in-house lawyer, with outside counsel as support.
- Pragmatic, business-first mindset focused on clear answers and practical paths forward.
- Genuine interest in an in-house generalist role with a sustainable pace.
Compensation & Benefits
- Base salary range: $150,000 - $200,000 annually
