Overview

This role involves serving as Corporate Counsel to support the review, drafting, and negotiation of commercial agreements. You will advise business partners and collaborate with legal team members on routine, moderately complex, and more complex or non-standard transactions.

Regular hours for this position are day shift.

Responsibilities

  • Develop proficiency with the use of A.I. tools to improve efficiencies and scale workflows and capabilities.
  • Draft, review, and negotiate a wide range of commercial agreements, including:
    • Master supply agreements
    • Sales contracts
    • Purchase orders
    • Statements of work
    • Vendor/supplier agreements
    • Equipment procurement contracts
    • Software licenses
    • NDAs
    • Services agreements
    • Leases
    • Joint development agreements
  • Partner with sales, procurement, and business teams to provide guidance on contract terms, risk allocation, and negotiation strategy.
  • Identify and recommend process improvements across legal workflows (e.g., templates, automation, and training), and help implement and measure their impact.
  • Monitor legal and regulatory developments affecting commercial contracting in the semiconductor industry, including:
    • Export controls
    • Trade compliance
    • IP licensing considerations
  • Advise on data privacy and protection matters, including data processing agreements and compliance with GDPR, CCPA, and other applicable privacy laws and regulations.
  • Support SEC reporting and public company compliance.
  • Assist with corporate governance matters, including entity management and subsidiary maintenance.
  • Provide legal guidance to People Team and managers on day-to-day employment matters.
  • Manage pre-litigation matters, including disputes, demand letters, subpoenas, litigation holds, and document collection; partner with outside counsel on active litigation and government inquiries under the direction of senior legal leadership.
  • Support the corporate compliance program, including the Code of Business Conduct, anti-corruption/FCPA, conflicts of interest, insider trading policies, and employee training.
  • Support corporate development and M&A activity, including due diligence, ancillary documents, and post-closing integration.

Required Qualifications

  • J.D. from an ABA-accredited law school.
  • Active membership in good standing with at least one U.S. state bar.
  • Minimum of 2-3 years of law firm experience (AmLaw 50 or equivalent preferred).
  • High personal standards of excellence and ethics, with the ability to act with discretion and strict confidentiality.
  • Emotional intelligence, including the ability to effectively empathize, influence, lead, collaborate with, and motivate others at all levels.
  • Growth mindset and curiosity; ability to learn rapidly and serve as a trusted business partner while operating comfortably in ambiguity.
  • Strong attention to detail and ability to manage a high volume of commercial matters simultaneously.
  • Excellent judgment in balancing legal risk with business objectives.
  • Ability to work independently, prioritize effectively, and communicate clearly with non-legal stakeholders.
  • Demonstrated experience across general corporate legal matters, or the ability and willingness to learn and take on new subject areas.
  • Demonstrated track record of continuous improvement, including identifying inefficiencies and implementing practical, measurable solutions.
  • Proficiency with legal technology and process automation, including A.I. tools.
  • Proven stakeholder management skills and ability to build trust across functions such as sales, procurement, finance, HR, engineering, and executive leadership.
  • Ability to provide practical legal advice to different business personnel at all levels, understanding and respecting cultural differences; strong negotiation, client-counseling, and interpersonal skills.
  • Resilience in high-pressure situations, including the ability to change directions and re-prioritize work as business needs evolve.
  • Compassionate, sensitive, and respectful approach to work.

Preferred Qualifications

  • Familiarity with semiconductor-specific contract terms and structures, including IP licensing, equipment and materials supply and purchase agreements.

Compensation & Benefits

  • Pay Range: $155,800.00 - $204,435.00
  • Location note: This role in Livermore, California pays between $155,800.00 and $204,435.00 per year, depending on experience, skills, and background. Pay may vary in other locations.
