Overview
A leading provider of web-based software systems for managing research, technology commercialization, and innovation operations is seeking a Corporate Counsel with 5-7 years of corporate legal experience. This senior role encompasses legal, compliance, and privacy responsibilities across global operations, partnering closely with the Chief Information Security Officer. The position involves leveraging AI-powered legal tools to enhance efficiency and scalability while advising executive leadership as a strategic partner.
Responsibilities
Legal Compliance & Risk Management
- Ensure adherence to applicable international, national, and local laws and regulations.
- Identify, analyze, and manage legal risks across multiple jurisdictions.
- Establish and maintain policies and procedures to mitigate legal risks.
- Utilize AI-powered compliance monitoring tools to track regulatory changes in real time.
Contract Review and Management
- Draft, review, and negotiate a variety of contracts including commercial agreements, employment contracts, vendor agreements, and partnerships.
- Manage cross-border transactions and contracts ensuring compliance with international regulations.
- Maintain AI-assisted contract templates and playbooks to standardize and streamline negotiations.
Corporate Governance
- Advise on corporate governance best practices and ensure compliance with board governance frameworks.
- Collaborate with Finance and registered agents to ensure compliance with Secretary of State registrations and annual report filings.
- Assist with board meetings, resolutions, and related legal documentation.
Regulatory Affairs
- Monitor changes in international laws and regulations to ensure timely compliance.
- Design, implement, and maintain internal controls frameworks.
- Develop security-related policies and compliance frameworks in partnership with IT/CISO.
- Manage relationships with regulators and handle regulatory inquiries or investigations.
- Lead compliance risk assessments and report to executive team and board.
- Leverage AI-assisted regulatory intelligence platforms to identify and assess regulatory impacts.
Data Privacy Officer Responsibilities
- Own and maintain the personal data governance framework.
- Ensure full compliance with GDPR and other global data protection laws including CCPA and UK GDPR.
Litigation & Dispute Resolution
- Oversee and manage litigation, arbitration, or disputes, coordinating with external counsel as needed.
- Represent the organization in negotiations and dispute resolution processes.
- Use AI-powered e-discovery and document review tools to reduce costs and time.
Intellectual Property
- Manage global IP registrations, infringements, and disputes.
- Utilize AI tools to monitor IP landscapes and manage portfolio tracking.
AI & Legal Technology Leadership
- Champion adoption of legal and compliance technology, evaluating and implementing AI tools.
- Establish governance frameworks and usage policies for AI in legal workflows.
- Advise on AI-related legal risks, data privacy, and emerging regulatory requirements.
- Stay current on AI law, privacy regulation, and compliance developments.
Stakeholder Management & Training
- Serve as a trusted advisor to senior leadership on legal, compliance, and privacy matters.
- Collaborate with external counsel and advisors for specialized legal issues.
- Provide training on commercial contracts, compliance, data privacy, contract management, and responsible AI use.
Requirements
- JD, LLB, or equivalent degree from an ABA-approved law school.
- Licensed to practice law in at least one U.S. jurisdiction; multi-jurisdictional licensure preferred.
- 5-7 years of experience in a similar role with international exposure in a multinational corporation or law firm.
- Experience serving in or alongside a Data Privacy Officer function with hands-on GDPR compliance ownership.
- Proven experience managing internal controls frameworks and regulatory compliance programs.
- Strong knowledge of international business law, regulations, and best practices.
- Exceptional negotiation, drafting, and communication skills.
- Strong organizational and project management skills; ability to manage external counsel and legal budgets.
Preferred Qualifications
- Experience in SaaS, technology transfer, or related technology industries.
- Hands-on experience evaluating, procuring, or implementing legal technology or AI tools.
Compensation & Benefits
- Salary range: $170,000 - $180,000 USD per year
