Overview

A legal services organization is seeking Corporate Governance Lawyers to support a publicly-traded client base across multiple industries.

Responsibilities

  • Advise Boards of Directors and executive leadership on corporate governance matters, including fiduciary duties, board processes, and best practices.
  • Draft, review, and maintain corporate governance documents such as bylaws, charters, policies, resolutions, and committee materials.
  • Support public company compliance obligations, including proxy statements, annual meetings, SEC filings, and disclosure requirements.
  • Oversee entity management, corporate records, and subsidiary governance to ensure compliance with applicable laws and internal standards.

Requirements

  • Minimum of 6 years of experience in corporate governance, securities, or public company representation.
  • Strong knowledge of corporate law, SEC regulations, proxy rules, and board governance practices.
  • Active legal license in good standing in Ontario or Alberta.

Compensation & Benefits

  • Estimated total compensation for full-time attorney roles ranges from $104,500 to $325,000 per year.
  • Compensation decisions are based on factors including experience, skills, certifications, location, and business needs.

Location

  • Candidates must be licensed and in good standing in Ontario or Alberta.
