Overview

A legal services organization is seeking corporate governance paralegals based in the Greater Toronto Area to join a bench of fully vetted candidates. These paralegals will work on secondments for top global clients, primarily on a remote basis.

Responsibilities

  • Assist client legal teams in drafting and reviewing corporate governance documents such as board resolutions, bylaws, policies, and charters
  • Conduct research and analyze legal and regulatory requirements related to corporate governance and compliance
  • Maintain and update corporate records, including board and committee minutes, shareholder records, and other governance-related documents
  • Assist with preparation and filing of corporate documents including annual reports, proxy statements, and SEC filings

Minimum Qualifications

  • 10+ years of corporate governance experience as a paralegal in a large corporate in-house environment
  • Strong understanding of corporate governance principles, best practices, and familiarity with corporate filings, SEC regulations, and compliance requirements
  • Proficient in legal research tools, databases, and related software
  • Willingness to work in an engagement-based role, seconded to clients on a temporary basis
  • Ability to work remotely and be located in the Greater Toronto Area
