Overview
A software and IT company is seeking a lawyer with over 4 years of experience in Corporate Governance and SEC Reporting for an ongoing part-time engagement starting July 13, 2026. This role involves supporting the corporate legal function with a focus on SEC compliance, corporate governance, and related legal duties.
Responsibilities
- Lead preparation, review, and filing of SEC periodic reports including 10-K, 10-Q, and 8-K.
- Provide legal support to the Board of Directors and its Committees (Audit, Compensation, Nominating/Governance).
- Draft board and committee agendas, minutes, and resolutions.
- Manage the annual proxy statement process, including shareholder proposals and the Annual Meeting.
- Ensure compliance with Regulation FD, Section 16 filings (Forms 3, 4, and 5), and Rule 10b5-1 plans.
- Utilize the Workiva platform to draft, review, and reconcile all SEC filings in collaboration with Finance and Accounting teams.
- Advise on NYSE/NASDAQ listing standards and corporate governance best practices.
- Support legal aspects of treasury operations, debt compliance, and potential capital markets transactions.
- Collaborate closely with Investor Relations, Finance, HR (executive compensation), and External Audit teams.
Requirements
- Minimum 4 years of in-house SEC reporting and corporate governance experience at a public U.S.-based company.
- High proficiency with the Workiva platform.
- Ability to work independently in a fast-paced environment with strong attention to detail and a pragmatic approach to legal risk.
- Must be able to work part-time at 20 hours per week starting July 13, 2026.
Compensation & Schedule
- Part-time remote position.
- Hourly rate between $100 and $120.
- Engagement is ongoing.
- Employment will be through a workforce solutions company on a W-2 basis for the duration of the engagement.
