Overview

A public company is seeking a Corporate Governance Specialist with extensive experience supporting public companies on corporate governance and securities matters. This in-house role requires prior experience working within the legal department of a major corporation. The position offers responsibility for managing the corporate governance of a fast-growing company.

Responsibilities

  • Prepare and file certificates of formation, by-laws, and operating agreements for legal entities
  • Oversee corporate subsidiary management
  • Prepare corporate governance documents and materials related to the Board of Directors and Board Committees
  • Review, research, and manage Section 16 filings, 10-Ks, 10-Qs, 8-Ks, proxy statements, and registration statements
  • Support administration of the company’s equity plans and grants
  • Maintain and file corporate records, including resolutions, minutes, Board of Director changes, and D&O questionnaires
  • Assist with mergers and acquisition (M&A) activities, including organizing and maintaining M&A documentation
  • Collaborate with outside counsel, internal business groups, and key vendors for the legal department

Requirements

  • Minimum 10 years of corporate paralegal experience
  • Working knowledge of NYSE and/or Nasdaq requirements
  • Bachelor’s degree and/or paralegal certificate preferred
  • Prior successful experience working in the legal department of a public company is required
  • Ability to work effectively in a fast-paced environment
  • Proficiency with one or more of the following platforms: entity management systems (e.g., Cogency), board portals (e.g., Diligent), EDGAR Next, and SEC filing software (e.g., Wdesk)

Compensation & Benefits

  • Salary range: $160,000 to $190,000, eligible for bonuses
  • Compensation is based on factors including work experience, qualifications, credentials, and location
