Overview
A leading insurance services organization is seeking a Corporate Legal Counsel to support day-to-day business operations with a focus on contracts, regulatory compliance, dispute management, and other legal matters.
Responsibilities
- Provide practical, solution-oriented legal counsel on a broad range of corporate and commercial matters, balancing business objectives, regulatory compliance, and legal risk.
- Draft, review, and negotiate a wide range of commercial contracts and other legal documents.
- Research and advise on compliance with laws, regulations, contractual requirements, industry standards, organizational documents, company policies, and lender requirements.
- Manage and resolve contract disputes, subpoena responses, regulatory inquiries, and complaints; support litigation and other dispute resolution matters as needed.
- Conduct legal research and analysis on issues related to business operations and broader corporate matters such as insurance licensing, real estate, employment, corporate governance, intellectual property, marketing, mergers and acquisitions, regulatory compliance, data privacy, and AI governance.
- Contribute to the development and continuous improvement of legal processes, templates, and contract playbooks.
- Utilize the contract lifecycle management (CLM) system and ensure proper execution and storage of legal documents.
- Drive mergers and acquisitions (M&A) activities by performing due diligence, reviewing purchase agreements, drafting necessary documents, and collaborating with business units and corporate functions to ensure seamless closing and integration.
- Assist with hiring efforts by reviewing restrictive covenants and other binding agreements, drafting employment agreements, and advising on applicable state employment laws.
- Perform other projects, duties, and tasks as assigned.
Requirements
- Juris Doctorate degree from an ABA-accredited law school.
- Active license to practice law and admission to at least one state bar maintained in good standing.
- Minimum of 3 years of experience as a practicing attorney with relevant experience aligned to the responsibilities of this role.
- Strong verbal and written communication skills with the ability to provide clear legal advice to diverse audiences.
- Sound legal and business judgment.

Preferred Qualifications
- Previous law firm experience.
- Experience with M&A due diligence.
- Insurance industry experience.
- Regulatory compliance advisory experience (e.g., HIPAA, Medicare).
- Familiarity with privacy and information security laws and standards such as HIPAA, GLBA, GDPR, CCPA, NYDFS.
- Knowledge of the Investment Advisers Act of 1940 and related SEC regulations.
- Experience utilizing a CLM system (e.g., Conga CLM).
Compensation & Benefits
- Salary range: $105,000.00 - $189,000.00, dependent on skills, experience, licensure, certifications, and organizational needs.
