Overview
A legal services organization is seeking experienced Corporate Governance Paralegals to join their bench of vetted candidates for temporary secondments with top Fortune 100 clients in Chicago. This is an existing vacancy for professionals interested in engagement-based roles lasting approximately six months.
Responsibilities
- Assist client legal teams in drafting and reviewing corporate governance documents such as board resolutions, bylaws, policies, and charters
- Conduct research and analyze legal and regulatory requirements related to corporate governance and compliance
- Maintain and update corporate records, including board and committee minutes, shareholder records, and other governance-related documents
- Assist with preparation and filing of corporate documents, including annual reports, proxy statements, and SEC filings
Requirements
- Minimum of 4 years of corporate governance experience as a paralegal within a large corporate in-house legal environment
- Strong understanding of corporate governance principles, best practices, and familiarity with corporate filings, SEC regulations, and compliance requirements
- Proficiency with legal research tools, databases, and related software
- Willingness to work in temporary, client-seconded engagements of approximately six months
Compensation & Benefits
- Estimated total compensation for non-attorney roles ranges from $71,250 to $309,750 annually, depending on experience, skills, certifications, location, and business needs
