Overview

A leading provider of digital and print educational resources is seeking a Corporate Paralegal to support its in-house legal department and the broader corporation. This role focuses on corporate governance, regulatory compliance, public company matters, and corporate housekeeping.

This is a remote position open to applicants authorized to work for any employer within the United States.

Responsibilities

  • Collaborate with the global corporate secretarial service provider, outside counsel, and business units to manage corporate secretarial matters.
  • Manage corporate housekeeping functions for over 30 subsidiaries and branch offices, including maintaining legal entity lists, organizational charts, rosters of directors and officers, board/shareholder resolutions, powers of attorney, notarizations, and legalizations.
  • Prepare state political disclosure forms, vendor and conflict of interest questionnaires, ownership reports, and other documentation supporting RFPs and vendor invoicing requirements.
  • Work with business units and outside counsel to register trademarks and domain names.
  • Manage the Legal Mailbox.
  • Respond to Services of Process.

Requirements

  • Bachelor's degree required; degree in a relevant discipline preferred.
  • Minimum of 3 years of relevant professional work experience.
  • Willingness to become a commissioned Notary Public promptly upon hire if not already commissioned.

Preferred Qualifications

  • Corporate governance experience at a publicly traded company.
  • Current commission as a Notary Public.
  • Residency in New York, New York.

Compensation & Benefits

  • Salary range: $54,500 - $75,000 annually, with base pay varying based on knowledge, skills, experience, and location.
  • A full range of medical and/or other benefits may be provided depending on the position.

  • Remote within the United States (applicants must be authorized to work for any employer in the U.S.)
  • Preference for candidates residing in New York, New York.
