Overview

Fully remote role supporting the legal and compliance functions of a public company.

This position focuses on corporate governance, public-company filings, and related legal processes to ensure timely execution of critical filings, board and committee preparation, and governance record maintenance.

Responsibilities

  • Support preparation and filing of periodic and current SEC reports, including Forms 10-K, 10-Q, and 8-K.
  • Coordinate filing logistics with internal and external stakeholders.
  • Manage Section 16 filings and administer the insider trading policy.
  • Assist with proxy statement preparation and annual meeting logistics.
  • Support stock administration and equity matters, including cap table management.
  • Ensure compliance with Nasdaq listing requirements.
  • Prepare board and committee meeting materials and manage related logistics.
  • Administer the board portal and maintain meeting minutes and resolutions.
  • Maintain minute books and governance records for domestic and foreign entities.
  • Assist with state and subsidiary filings and registered-agent coordination.
  • Support litigation matters, insurance claims, and legal process responses.
  • Utilize AI tools and legal technology to streamline workflows and improve efficiency.
  • Collaborate with attorneys, legal operations, finance, and other teams to meet deadlines.

Requirements

  • Bachelor’s degree or equivalent education, training, or experience; ABA-approved paralegal certificate preferred.
  • At least 8 years of corporate or public-company paralegal experience, including both law firm and in-house roles.
  • Knowledge of SEC reporting, Section 16, Nasdaq listing standards, and public-company governance.
  • Experience with public-company filing tools (e.g., EDGAR, XBRL), board portals, and entity management software.
  • Strong organizational skills and demonstrated ability to manage deadline-driven calendars.
  • Ability to handle confidential and material non-public information with discretion.
  • Experience supporting corporate secretaries and boards of directors.
  • Proactive, dependable, and solutions-oriented approach with a high sense of ownership.
  • Familiarity with, or willingness to use, AI tools and legal technology.
  • Clear communication skills and ability to work with cross-functional teams.

Preferred Qualifications

  • Experience in litigation support, insurance claims, or stock administration.
  • Experience in a public technology or SaaS company.
