Overview
A remote opportunity is available for experienced Corporate Governance Paralegals to join a bench of vetted candidates supporting Fortune 100 clients on temporary secondments.
Responsibilities
- Assist legal teams in drafting and reviewing corporate governance documents such as board resolutions, bylaws, policies, and charters
- Conduct research and analyze legal and regulatory requirements related to corporate governance and compliance
- Maintain and update corporate records including board and committee minutes, shareholder records, and other governance documents
- Support preparation and filing of corporate documents including annual reports, proxy statements, and SEC filings
Requirements
- Minimum 4 years of corporate governance experience as a paralegal within a large corporate in-house legal environment
- Strong knowledge of corporate governance principles, corporate filings, SEC regulations, and compliance requirements
- Proficiency with legal research tools, databases, and related software
- Willingness to work in an engagement-based role, seconded to clients on temporary assignments typically lasting around 6 months
Compensation & Benefits
- Estimated total compensation for non-attorney roles ranges from $71,250 to $309,750 annually, depending on experience, skills, certifications, location, and business needs
