Overview
Position: Corporate Paralegal
Location: Remote
Reports To: CFO
Employment Type: Full-time, Monday to Friday, 8 AM to 5 PM
Salary Range: $75,000 - $92,500
This position is pending contract award.
Responsibilities
- Maintain corporate records, minute books, and entity management systems
- Prepare and file formation documents, annual reports, and state registrations
- Support board and committee meetings by preparing agendas, resolutions, and minutes
- Assist with mergers, acquisitions, and other corporate transactions
- Draft, review, and manage contracts, NDAs, and amendments
- Track contract obligations, renewals, and expirations
- Coordinate with outside counsel, registered agents, and internal stakeholders
- Assist with SEC filings and compliance, if applicable
- Conduct legal research and support special projects
- Perform other duties as assigned
Requirements
- Associate or bachelor's degree; paralegal certificate preferred
- Minimum of 3 years of corporate or in-house paralegal experience
- Strong knowledge of corporate governance, entity management, and contracts
- Proficiency in Microsoft Office and contract/entity management systems
- Excellent written and verbal communication skills
Preferred Qualifications
- Experience with domestic and international entity compliance
- Familiarity with SEC reporting, mergers and acquisitions, or public company requirements
- Strong organizational and project management skills
- High level of discretion and ability to handle confidential information
- Ability to prioritize multiple deadlines in a fast-paced environment
