Overview
A publicly traded company is seeking a seasoned corporate securities attorney to support its in-house legal team on a part-time basis. This role involves serving as a key internal partner on core SEC reporting and governance matters, working closely with a small legal team and coordinating with outside counsel.
Responsibilities
- Review and comment on SEC filings including 10-Ks, 10-Qs, and 8-Ks
- Support earnings preparation and releases
- Handle Section 16 filings
- Advise on insider trading compliance and trading windows
- Manage S-8 registration statements and equity plan matters
- Support proxy, annual meeting, and board governance processes
- Act as a legal point of contact for the company’s equity administration platform
- Assist with preparation of board materials
Requirements
- Strong public company securities experience
- Prior in-house experience at a public company
- Ability to operate independently and manage internal processes
- Light litigation experience is helpful but not required

- Part-time, approximately 20 hours per week

Compensation & Benefits
- Hourly rate between $108 and $112, based on qualifications, skillset, relevant experience, client needs, and project requirements
