Overview
This role involves advising on U.S. corporate and securities matters for a publicly traded company, including compliance with SEC and Nasdaq regulations, corporate governance, subsidiary management, mergers and acquisitions (M&A), corporate finance, and partnership agreements. The position requires a high level of expertise in SEC filings and state corporate law, as well as experience supporting large partnerships and corporate transactions.
The legal team works closely with finance and corporate development teams to provide comprehensive legal support. This is a remote-first position available within the US and Canada.
Responsibilities
- Serve as the expert on SEC and Nasdaq rules and filings, including Forms 8-K, 4, Proxy statements, 10-Q, and 10-K
- Prepare board materials such as slide decks, resolutions, unanimous written consents (UWCs), and meeting minutes
- Coordinate with Australian counsel on ASX listing requirements
- Support M&A activities by drafting and reviewing NDAs, Letters of Intent, Definitive Agreements, and related documents, and assist with closing processes
- Collaborate with the finance team on corporate finance transactions
- Provide legal support for large partnership deals
Requirements
- Minimum of 8 years of experience handling public company legal matters and transactions
- Deep knowledge of SEC reporting requirements and federal securities laws
- Advanced experience preparing proxy statements and managing shareholder meeting logistics
- Strong understanding of stock exchange listing requirements
- Excellent analytical skills with strong attention to detail
- Superior writing, communication, and presentation abilities
- Ability to manage multiple priorities and meet strict deadlines in a fast-paced environment
- JD degree and admission to practice law in at least one U.S. state
- Experience in both law firm and in-house corporate legal roles is a plus
- Familiarity with ASX listing requirements for foreign-exempt filers is advantageous
- Ability to quickly identify, analyze, and communicate complex legal issues
- Strong collaboration skills to work effectively across business functions

Preferred Qualifications
- Combination of prior law firm and in-house corporate law experience
- Familiarity with ASX listing requirements for foreign-exempt filers
Compensation & Benefits
- Salary range: $147,000 to $237,000 (USD), based on experience, location, and qualifications
