Overview

A national healthcare consulting firm with over 50 years of experience is seeking a Contracts and Compliance Paralegal to support its Contracts and Compliance Counsel in managing the full lifecycle of client and vendor agreements. This role involves contract intake, drafting, reviewing, compliance auditing, and administration of the contract lifecycle management (CLM) tool. The position requires collaboration with project officers to ensure agreements align with business objectives and comply with industry regulations such as HIPAA.

Responsibilities

  • Serve as the subject matter expert and administrator for the CLM platform, including:
    • Overseeing contract intake and ensuring accurate metadata entry
    • Developing training materials and customized reports
    • Managing user access, roles, permissions, and automating workflows
    • Ensuring data accuracy and producing periodic leadership reports
  • Lead the selection and implementation of an AI tool for metadata capture within the CLM platform, including issuing RFIs, vendor evaluation, and administration
  • Assist in drafting and reviewing various agreements such as master service agreements, client agreements, subscription agreements, subcontractor agreements, statements of work, NDAs, vendor contracts, data privacy agreements, and business-associate agreements
  • Tailor contract language to project scopes, pricing models, and deliverables
  • Ensure contract provisions comply with applicable laws, regulations, and industry standards (e.g., HIPAA, CCPA)
  • Track and support compliance with contractual obligations, data privacy, security requirements, and internal audits
  • Assist with compliance training, policy and procedure development, and monitoring activities
  • Collaborate with consulting teams and corporate operations to align contract language with business needs
  • Serve as liaison between legal counsel and business units, addressing questions and guiding stakeholders through contract processes
  • Maintain contract template library, checklists, and guidance documents
  • Train consultants and project managers on contract policies, approval workflows, and contract-management system use
  • Identify opportunities to streamline workflows, improve system adoption, and enhance reporting capabilities

Requirements

  • Bachelor’s degree with ABA-approved paralegal certification or equivalent of 7+ years of experience
  • Contract-management certification strongly preferred
  • Minimum 5 years of experience in contract management or paralegal roles, preferably in consulting, healthcare, or professional services
  • Experience administering CLM platforms (e.g., Cobblestone, Conga, Agiloft, IronClad) and drafting/negotiating service or consulting agreements
  • Proficiency with contract-management software, electronic signature tools (e.g., DocuSign), Microsoft Office, and collaboration platforms (e.g., SharePoint, Teams)
  • Familiarity with data privacy regulations and HIPAA requirements; HCCA CHC certification is a plus
  • Excellent written and verbal communication skills
  • Strong attention to detail, organizational skills, and ability to multitask and meet deadlines in a fast-paced environment

Preferred Locations

  • San Diego, Chicago, Atlanta, or Washington, DC
  • Hybrid work schedule with approximately 4-6 days per month in the office

Compensation & Benefits

  • Full-time, nonexempt position
  • Estimated hourly base salary range: $52.88 – $55.29
  • Salary varies based on experience, skills, and market factors
