Overview

A leading cybersecurity organization is seeking a highly motivated attorney with broad public company and transactional experience to join their corporate legal team. This role involves supporting various legal matters including SEC filings, strategic transactions, corporate governance, and other projects across multiple functions.

Responsibilities

  • Draft and review SEC filings
  • Execute strategic transactions such as mergers and acquisitions
  • Support stockholder initiatives
  • Assist with corporate governance matters
  • Collaborate with corporate development, finance, investor relations, stock administration, tax, and treasury teams
  • Manage various legal projects as required

Requirements

  • Juris Doctor (J.D.) degree and admission to the bar
  • 4-6 years of relevant experience at a top-tier law firm and/or in-house at a public company
  • Strong knowledge of federal securities laws, SEC reporting requirements, and state corporate laws
  • Familiarity with corporate governance matters
  • Experience counseling on complex transactions including M&A from negotiations through post-closing integration
  • Collaborative team player who thrives in a fast-paced environment
  • Excellent judgment and integrity with the ability to handle complex legal matters
  • Resourceful self-starter comfortable managing multiple projects
  • Strong organizational and interpersonal skills with the ability to communicate complex legal concepts effectively
  • Willingness to work varying hours to accommodate a global workforce as needed

Preferred Qualifications

  • Experience advising high-growth private and public technology companies
  • Experience with cross-border strategic transactions and entity management
  • Experience supporting environmental, social, and governance (ESG) initiatives

Compensation & Benefits

  • Base salary range for candidates in the San Francisco Bay Area: $165,000 - $210,000 per year
  • Eligibility for bonuses and equity grants
  • Comprehensive benefits package including health insurance, 401(k), and paid time off
