Overview
The legal, compliance, and public affairs team is seeking a Counsel II, Capital Markets to support the organization’s corporate affairs function. This role will help build a diversified capitalization strategy and support capital markets and bank partnerships initiatives.
Responsibilities
- Support the capital markets team in building a network of capital sources and strategies, including capital markets international expansion
- Support the bank partnerships team in building a network of originating and card issuing partner banks
- Lead financing transactions and initiatives from a legal perspective, from strategy discussions through deal execution
- Draft, review, and negotiate US and international capital markets deal documents, including:
- Credit and security agreements
- Loan sale agreements
- Indentures
- Officer certificates
- Board and shareholder resolutions
- Side letters
- Apply knowledge of lending and securities laws and regulations relevant to capital markets transactions
- Communicate legal advice clearly, concisely, and in a timely manner
- Assist with other special projects as needed
Requirements
- 5+ years of relevant law-firm experience; some additional in-house experience preferred (particularly from a high-growth fintech start-up)
- JD from a well-regarded law school and membership in good standing in a US state bar
- Prior experience in structured and/or debt finance, including at least some of the following:
- Term, revolving, and asset-based lending
- Warehouse and asset-backed financing
- Loan sales
- Securitizations
- Creative forms of funding
- Strong integrity and work ethic
- Excellent business judgment and interpersonal skills to facilitate negotiations with external and internal stakeholders
- Strong interpersonal and problem-solving skills, meticulous attention to detail, maturity, an eye for business, proactivity, and a strong attitude
- Proven experience as a key contributing member of a high-performing team
- Self-motivated with the ability to take ownership of projects
- Ability to work efficiently both independently and as part of a team
Preferred Qualifications
- Additional in-house experience (particularly from a high-growth fintech start-up)
Compensation & Benefits
- Pay grade: M
- Equity grade: 6
- New hires typically come in at the start of the pay range.
USA base pay range:
- CA, WA, NY, NJ, CT: $185,000 - $245,000 per year
- All other U.S. states: $164,000 - $224,000 per year

Location
- Remote-first with flexibility built in. Most roles can be done from almost anywhere within the country of employment.
- Some positions may occasionally require in-person work at an office, and a few are office-based due to the nature of the work.
- All new hires will attend an in-person onboarding experience.
