Overview

The Legal, Compliance, and Public Affairs team provides legal, compliance, and policy expertise that supports growth, shapes products, and helps build trust across the organization’s ecosystem.

This role is for Counsel II, Capital Markets within the organization’s Corporate Affairs function. The position supports efforts to build a diversified capitalization strategy and involves close collaboration with capital markets and bank partnerships business teams.

Responsibilities

  • Support the capital markets team in building the organization’s network of capital sources and strategies, including capital markets international expansion
  • Support the bank partnerships team in building the organization’s network of originating and card issuing partner banks
  • Advise financing transactions and initiatives from legal strategy through deal execution
  • Draft, review, and negotiate US and international capital markets deal documents, including:
    • credit and security agreements
    • loan sale agreements
    • indentures
    • officer certificates
    • board and shareholder resolutions
    • side letters
  • Apply knowledge of lending and securities laws and regulations relevant to capital markets transactions
  • Communicate legal advice clearly, concisely, and in a timely manner
  • Assist with other special projects as needed

Requirements

  • 5+ years of relevant law-firm experience; additional in-house experience is preferred (particularly from a high-growth fintech start-up)
  • JD from a well-regarded law school and membership in good standing in a US state bar
  • Prior experience with structured and/or debt finance, including:
    • term, revolving, and asset-based lending
    • warehouse and asset-backed financing
    • loan sales
    • securitizations
    • creative forms of funding
  • Strong integrity and work ethic
  • Excellent business judgment and interpersonal skills to facilitate negotiations with internal and external customers
  • Strong interpersonal and problem-solving skills with meticulous attention to detail
  • Maturity, business judgment, proactivity, and a strong attitude
  • Proven experience contributing to a high-performing team
  • Self-motivation and willingness to take ownership of projects
  • Ability to work efficiently both independently and as part of a team

Preferred Qualifications

  • Some additional in-house experience (particularly if it is from a high-growth fintech start-up)

Compensation & Benefits

  • Pay Grade: M
  • Equity Grade: 6
  • Employees new to the organization typically come in at the start of the pay range.

Base pay ranges (per year):

  • USA base pay range (CA, WA, NY, NJ, CT): $185,000 - $245,000
  • USA base pay range (all other U.S. states): $164,000 - $224,000

Base pay is part of a total compensation package that may include:

Location

  • Remote-first with flexibility built in. Most roles can be done from almost anywhere within the country of employment.
