Overview
The Legal, Compliance, and Public Affairs team is seeking to add a Counsel II, Capital Markets to support the organization’s Corporate Affairs function. This role focuses on helping build a diversified capitalization strategy and supporting capital markets and bank partnerships initiatives.
Responsibilities
- Support the capital markets team in building a network of capital sources and strategies, including capital markets international expansion
- Support the bank partnerships team in building a network of originating and card issuing partner banks
- Guide financing transactions and initiatives from a legal perspective, from strategy discussions through deal execution
- Draft, review, and negotiate U.S. and international capital markets deal documents, including:
- Credit and security agreements
- Loan sale agreements
- Indentures
- Officer certificates
- Board and shareholder resolutions
- Side letters
- Demonstrate knowledge and understanding of lending and securities laws and regulations relating to capital markets transactions
- Communicate legal advice in a clear, concise, and timely manner
- Assist with other special projects as needed
Requirements
- 5+ years of relevant law-firm experience; additional in-house experience is preferred (particularly if from a high-growth fintech start-up)
- JD from a well-regarded law school
- Membership (in good standing) in a US state bar
- Prior legal experience in structured and/or debt finance, including one or more of:
- Term, revolving, and asset-based lending
- Warehouse and asset-backed financing
- Loan sales
- Securitizations
- Creative forms of funding
- Outstanding integrity and work ethic
- Excellent business judgment and interpersonal skills to facilitate negotiations with external and internal customers
- Strong interpersonal and problem-solving skills; meticulous attention to detail; maturity and proactivity; excellent attitude
- Proven experience as a key contributing member of a high performing team
- Self-motivation and willingness to take ownership of projects
- Ability to work efficiently both solo and as part of a team
Preferred Qualifications
- Some additional in-house experience, particularly if from a high-growth fintech start-up
Compensation & Benefits
- Pay Grade: M
- Equity Grade: 6
- Employees new to Affirm typically come in at the start of the pay range.
Base pay ranges per year:
- USA base pay range (CA, WA, NY, NJ, CT): $185,000 - $245,000
- USA base pay range (all other U.S. states): $164,000 - $224,000

Location
- Remote-first with flexibility built in: Most roles can be done from almost anywhere within the country of employment.
