Overview

A technology company specializing in AI infrastructure is seeking a Commercial Counsel to join their team in New York. This role supports a rapidly growing SaaS business and involves partnering closely with internal business teams across multiple regions including the US, EMEA, and APAC.

Responsibilities

  • Review and negotiate SaaS and software licensing agreements with enterprise customers, collaborating with Sales, Finance, and Product teams to close deals.
  • Review and negotiate various commercial agreements such as data processing, professional services, and partnership contracts.
  • Develop and improve policies, templates, and processes to manage legal and business risks on a global scale.

Requirements

  • Juris Doctor (JD) degree and membership in good standing of a U.S. state bar.
  • Minimum of 3 years combined legal experience in-house and/or at a law firm, focusing primarily on commercial and technology transactions.
  • Strong knowledge of SaaS and software licensing agreements.
  • Working knowledge of GDPR and privacy laws.
  • Proven track record of closing complex commercial agreements.

Preferred Qualifications

  • Experience supporting a venture capital-backed or high-growth technology company.
  • Ability to identify and address data protection issues in commercial transactions.

  • Excellent communication skills, capable of translating complex legal concepts into clear advice.
  • Interest in machine learning technology and its applications.

Compensation & Benefits

  • Base salary range: $99,000 to $145,000, determined by knowledge, skills, experience, and market location.
  • Additional compensation includes discretionary bonuses, equity awards, and a comprehensive benefits package.
