Overview

A senior living organization with nearly 30 years of experience and 68 communities across the Northeast is seeking a Deputy General Counsel Corporate. The organization manages $3 billion in assets and generates $700 million in annual revenue, with a growing footprint from Boston to Washington DC. It offers independent living, assisted living, memory care, and continuing care retirement communities. The senior housing sector is experiencing significant growth driven by demographic trends, requiring increased development and investment.

Responsibilities

  • Provide high-quality legal advice to senior leadership and other internal stakeholders on corporate matters, contracts, and compliance.
  • Support acquisitions, development projects, and equity and debt financings in collaboration with outside counsel.
  • Negotiate and draft transactional and financing documents; coordinate legal aspects of mergers and acquisitions including due diligence, integration, and liability allocation.
  • Collaborate with internal regulatory lawyers and multiple outside counsel on large transactions and strategic initiatives.
  • Assist with the structuring and documentation of co-investment vehicles and long-term incentive programs.
  • Manage intellectual property issues, including trademarks.
  • Oversee the organization’s associated 501(c)(3) fund that supports associates facing unexpected hardships.
  • Review company-wide and multi-site contracts, providing legal guidance aligned with business objectives.
  • Identify and assess legal risks and advise on risk mitigation strategies.
  • Review and approve legal documents.
  • Manage the Legal Services Manager, Senior Corporate Counsel, Corporate and Licensing Paralegal, and administrative support staff.
  • Supervise formation, maintenance, and dissolution of corporate entities.
  • Oversee liquor licenses and other community-related permits.
  • Perform other duties and projects as assigned.

Qualifications

  • Bachelor’s degree (BA/BS)
  • Juris Doctorate (JD) degree
  • Active state bar licensure
  • Minimum of 10 years of broad corporate legal experience as a practicing attorney in good standing
  • Experience representing a company in the senior living or a closely related sector is strongly preferred
  • Proven track record of providing substantive legal advice and support to senior management and business leaders
  • Demonstrated ability to build strong relationships and collaborate effectively
  • Experience advising both business operations and infrastructure functions
