Overview
The organization is seeking a Senior Commercial Counsel to support a high volume of complex commercial and technology transactions. This role will manage workloads and relationships with cross-functional partners, including Engineering, Security, Privacy, Finance, Procurement and IT. The position supports the organization’s cloud strategy across multiple platforms and helps the business scale technology and infrastructure partnerships.
Responsibilities
- Lead, coach, and develop a team of legal professionals supporting complex commercial and technology transactions.
- Manage hiring, onboarding, performance, development, and resourcing for the team.
- Set team priorities and operating rhythms to optimize productivity, quality, stakeholder support, and career development.
- Serve as an escalation point for complex, contentious, and unforeseen issues, making sound decisions in ambiguous or time-sensitive situations.
- Guide negotiation strategy and legal risk assessment for SaaS, AI, cloud, infrastructure, data processing, professional services, and other supplier agreements.
- Partner closely with Engineering, Infrastructure, Security, Privacy, Finance, Procurement, and IT stakeholders to support strategic business initiatives and critical transactions.
- Improve execution by building scalable playbooks, templates, workflows, guidance, and decision frameworks.
- Use metrics, milestones, and feedback loops to drive accountability, improve execution, and strengthen stakeholder experience.
- Build team and organizational capability through coaching, succession planning, exposure, and stretch opportunities.
- Stay current on cloud contracting trends, emerging licensing and consumption models, and industry best practices.
Requirements
- JD with minimum 10 years of experience in a legal environment, with significant experience negotiating complex SaaS, cloud services, technology infrastructure, and commercial transactions.
- Minimum 2 years of in-house experience at a technology company preferred.
- Strong people management experience, including coaching, performance management, development, and workforce planning.
- Deep experience negotiating cloud compute, SaaS, hosting, data processing, professional services, and other technology supplier agreements, with comfort advising on data privacy, data security, AI, and general commercial risk.
- Strong judgment and comfort making risk-based decisions in ambiguous, fast-moving environments.
- Excellent stakeholder management and communication skills, including presenting clear, business-oriented solutions.
- Demonstrated ability to drive results through others, manage escalations, and improve team operations.
- Track record of building team capability, holding high standards, and creating an inclusive, accountable environment.
Compensation & Benefits
- US based applicants only.
- Base salary range: $210,161—$432,684 USD.
- Equity eligibility.
- Final salary is based on factors including location, travel, relevant prior experience, and particular skills and expertise.
Location & Work Model
- This position is not eligible for relocation assistance.
- In-office requirement: in-person collaboration 1–2 times every 6 months; role can be situated anywhere in the country.
