Overview
A leading organization in the Enterprise Technology sector is seeking a Director Associate General Counsel specializing in Corporate and Securities law. This role involves delivering key legal outcomes for customers and stakeholders, collaborating across teams, and managing critical priorities. Location: Remote (U.S. based candidates only; no visa sponsorship available)
Compensation: $206,600 – $312,500 annually
Responsibilities
- Lead and manage SEC filings and corporate governance functions
- Act as a key partner to executive leadership throughout the governance lifecycle
- Oversee legal support for equity compensation programs
- Collaborate with cross-functional teams on international equity compensation matters
- Manage executive trading plans and insider trading policies
- Support legal aspects of mergers and acquisitions (M&A) and capital market initiatives
- Provide advice on compliance and sustainability issues
Requirements
- Juris Doctorate degree
- Active membership in good standing with a U.S. State Bar
- Minimum of 10 years of experience in corporate and securities law
- At least 3 years of people management experience
- Deep knowledge of corporate governance, public company disclosure, and SEC/Nasdaq regulations
- Strong business and legal judgment with a risk-based decision-making approach
Preferred Qualifications
- Prior in-house experience at a B2B SaaS company
- Experience with M&A transactions
- Familiarity with proxy advisory firms such as ISS and Glass Lewis
- Understanding of generative AI and open source legal issues
- Knowledge of international securities law and tax regulations
- Expertise in corporate structures and governance practices
- Experience with employee equity compensation design and administration
- Technical proficiency with legal project management tools for corporate governance oversight
