Overview

A leading organization in the Pharmaceuticals & Biotech sector is seeking a Director, Corporate Counsel - Corporate and Securities. This role supports high-impact legal work that directly contributes to business performance and team success. The position involves collaboration across functions to advance priorities, solve complex problems, and deliver measurable outcomes. It offers the opportunity to influence both strategic direction and day-to-day execution in a fast-paced environment.

Location: Remote (U.S. based candidates only; no visa sponsorship available)

Compensation: $224,000 – $336,000 annually

Responsibilities

  • Ensure compliance with federal and state securities laws, focusing on the Securities Exchange Act of 1934 and the Securities Act of 1933
  • Prepare and review all SEC filings, including Form 10-K, Form 10-Q, and proxy statements
  • Maintain corporate governance policies and practices, including guidelines and committee charters
  • Review and advise on quarterly earnings releases and investor presentations
  • Provide counsel on executive compensation activities and maintain equity award agreements
  • Collaborate with various departments to support corporate initiatives and governance compliance
  • Assist with capital markets transactions, mergers, and acquisitions

Qualifications

  • Juris Doctorate (J.D.) from an accredited law school
  • Licensed to practice law in the United States
  • Minimum of 7 years of experience in-house and/or with a law firm; experience in biotech or pharmaceutical industries preferred
  • Self-motivated, proactive, strategic thinker with excellent judgment
  • Ability to multi-task and adapt in a fast-paced environment
  • Strong organizational, project management, and communication skills

Preferred Skills and Experience

  • Expertise in federal and state securities laws
  • Experience preparing SEC filings such as Form 10-K, 10-Q, and 8-K
  • Knowledge of SEC and Nasdaq compliance regulations
  • Familiarity with corporate governance practices
  • Proficiency with legal research software (e.g., Westlaw, LexisNexis)
  • Experience with project management tools (e.g., Asana, Trello)
  • Ability to utilize data analytics tools (e.g., Tableau, Microsoft Power BI) for financial data analysis and presentation
