Overview
A leading organization in the Enterprise Technology sector is seeking a Director of Corporate Counsel. This role focuses on providing business-aligned legal guidance related to governance, compliance, and operational risk management. The position involves partnering with leadership, compliance stakeholders, and cross-functional teams to translate complex legal issues into practical recommendations that support responsible execution, improved decision-making, and sustainable growth within a technology-driven environment.
Location: Remote (U.S. based candidates only, no visa sponsorship available)
Compensation: $214,800 – $398,900 annually
Responsibilities
- Provide legal counsel on corporate governance and board practices
- Prepare and review governance documentation and committee materials
- Oversee global legal entity structure and corporate housekeeping tasks
- Lead legal workstreams for mergers & acquisitions and strategic transactions
- Draft, review, and negotiate key transaction documents
- Support equity plan matters and coordinate with internal teams
- Advise on and negotiate financing transactions, including credit agreements
Qualifications
- Juris Doctor (JD) from an accredited U.S. law school with an active law license
- 8-12 years of experience in corporate law, including significant law firm and in-house practice
- Expertise in corporate governance and entity management, including corporate record maintenance
- Proven track record leading mergers & acquisitions and complex transactions
- Experience with equity plans and collaboration with HR and Finance departments
- Knowledge of negotiating credit agreements and financing arrangements
- Hands-on public company experience with SEC compliance and reporting
Desired Skills and Experience
- Active license to practice law in at least one U.S. jurisdiction
- Experience with SEC filings (Forms 10-K, 10-Q, 8-K)
- Familiarity with corporate law management systems (e.g., Diligent, Governance Cloud)
- Proficiency with document management systems for legal documents and records
- Skilled in legal research tools (e.g., Westlaw, LexisNexis)
- Strong negotiation skills, including working with external counsel
