Overview
A growing technology company is seeking a Director to lead their public company corporate and securities legal team. This role offers the opportunity to shape the legal function at an early stage of the team’s growth, managing a small team of lawyers and partnering cross-functionally. The position reports to the VP of Corporate Legal and can be based in one of the US hubs or remotely within the United States.
Responsibilities
- Lead the legal team responsible for securities law compliance, public company reporting, and corporate governance
- Prepare and review all SEC filings, including 10-K, 10-Q, 8-K, Proxy Statements, and Section 16 filings
- Advise and coordinate with internal teams on quarterly earnings matters
- Lead planning for the annual stockholders meeting
- Prepare and manage board and committee meeting materials in collaboration with senior leadership
- Develop and oversee corporate governance functions
- Manage equity processes such as insider trading policies, 10b5-1 trading plans, pre-clearance processes, and advise on executive and director compensation programs
- Draft and maintain corporate policies including charters, bylaws, committee charters, code of conduct, and governance policies
Requirements
- 12+ years of experience in corporate, securities, and public company reporting law, including training at a large law firm and in-house public company experience
- At least 2 years of management experience
- J.D. degree from an ABA-accredited law school (or foreign equivalent) and membership in good standing in at least one U.S. State Bar
- Excellent interpersonal skills and strong business judgment with the ability to distill complex issues clearly
- Proactive, driven, adaptable, with strong prioritization and organizational skills
- Ability to thrive in a fast-paced environment and manage multiple projects simultaneously

Compensation & Benefits
- Annual base salary range: $281,000 to $365,000 USD (salary may be adjusted based on location and other factors)

Location
This is a full-time role based in one of the US hubs or remote within the United States. Salary and benefits may be localized based on work location.
