Overview

This role is a newly created, high-impact position within the Legal Department of a global leader in high-speed connectivity. The Director, Strategic Transactions (Legal) will shape how the organization structures, coordinates, and executes diverse strategic transactions worldwide. Reporting to the Deputy General Counsel, this position will be based remotely in the United States or near a company office.

Responsibilities

Mergers & Acquisitions

  • Collaborate closely with the Chief Strategy Office and Legal leadership throughout all stages of acquisition transactions, including non-disclosure agreements, term sheets, letters of intent, deal structuring, deal processes, drafting and negotiating definitive documents, closing, and post-closing integration.
  • Lead legal due diligence processes and coordinate with other functions to communicate findings, risks, and recommended solutions to stakeholders.
  • Serve as a key liaison across functions and organizational levels to complete transactions.
  • Develop strategies and tools, including leveraging AI, to continuously improve deal processes and execution.

Strategic Investments

  • Support the corporate venture capital program and investments, managing relationships and engagements with outside counsel.
  • Develop legal strategies and efficient processes to oversee investments and ongoing portfolio management.

Other Strategic Transactions and Legal Matters

  • Lead negotiation and drafting of strategic commercial and technology transactions and partnerships.
  • Assist the broader Legal Department and Chief Strategy Officer with other high-priority corporate or transactional matters.

Requirements

  • Minimum 5 years of legal experience in M&A, preferably with strategic acquisition transactions and some in-house or outside counsel experience involving recurring buy-side relationships.
  • Proven ability to independently negotiate and manage complex strategic transactions.
  • Creative thinker with the ability to work proactively and independently in a fast-paced environment.
  • Demonstrated growth mindset, strong initiative, adaptability, and ownership of challenges.
  • Excellent legal and business judgment, attention to detail, and problem-solving skills.
  • Strong process orientation and comfort using AI and other technologies to support transactions.
  • Team player willing to support the diverse needs of a dynamic legal department.
  • Effective communication skills with stakeholders and executives.
  • Active bar membership in good standing in the state of residency, with eligibility to practice as in-house counsel.

Preferred Qualifications

  • Familiarity with the high technology or telecommunications industry.
  • Experience with public company matters and securities law.
  • Knowledge of antitrust/competition law, including coordinating filings and merger control strategies.
  • Commercial contracting experience involving development, purchase, sale, or licensing of emerging technology.
  • Experience with capital markets and financing transactions, including debt or equity.
  • Post-closing integration experience, including contract novations, assignments, and transition services.

  • Compensation ranges vary based on knowledge, skills, experience, market conditions, and location.
