Overview
A Fortune 500 utility company is seeking an experienced attorney with 8+ years of legal experience for an ongoing, full-time remote engagement starting as soon as possible. This role involves supporting significant generation, infrastructure, and energy development initiatives through advising on large-scale transactions valued between $100 million and over $1 billion. The focus is on electric utility, power generation, renewable energy, and broader energy infrastructure sectors.
Responsibilities
- Draft, review, and negotiate complex energy and infrastructure transactions, including power purchase agreements (PPAs), engineering, procurement, and construction (EPC) agreements, project development agreements, and related commercial contracts
- Advise on acquisition, development, financing, and operation of conventional and renewable generation assets such as solar, wind, battery storage, and natural gas projects
- Support energy procurement transactions, competitive request for proposal (RFP) processes, and large-scale strategic sourcing initiatives
- Counsel business teams on project development, project finance, and build-to-own generation projects
- Negotiate natural gas supply, transportation, storage, and related infrastructure agreements
- Provide advice on transactions involving generation asset acquisitions, tolling arrangements, commodity purchases, renewable energy credits, emissions credits, and other strategic energy initiatives
- Offer legal guidance regarding Midcontinent Independent System Operator (MISO) market rules, regulatory requirements, and related energy market matters
- Collaborate closely with business, engineering, finance, and project development teams throughout transaction lifecycles
- Support regulatory approvals and utility commission processes as needed for strategic development projects
Qualifications
- Minimum of 8 years of legal experience with substantial expertise in electric utility, power generation, renewable energy, or energy infrastructure sectors
- Strong knowledge of MISO rules, market structures, and regulatory requirements
- Proven experience negotiating PPAs, EPC agreements, energy procurement agreements, and project development transactions
- Familiarity with project finance and generation asset acquisitions
- Experience supporting competitive RFP processes and large-scale procurement initiatives
- In-house experience with utilities, independent power producers (IPPs), renewable developers, or energy infrastructure is strongly preferred
- Experience with data center power supply or energy infrastructure projects is a plus
Compensation & Schedule
- Compensation: $100 per hour (approximately $4,000 per week), flexible based on experience
- Schedule: Full-time
- Duration: Ongoing
- Engagement as an independent contractor with net 30 payment terms
- Must agree to the client’s standard Engagement Letter
