Fractional Corporate Legal Counsel

Overview

A global risk information and services platform is seeking a Fractional Corporate Legal Counsel to support commercial contracting, governance and compliance matters, privacy and data protection issues, and legal policy review. This role emphasizes substantive legal judgment over administrative legal operations and is suited for a commercially pragmatic, highly responsive attorney comfortable in a fast-paced, globally distributed environment. Experience with private equity funded companies and maturing contract review processes is preferred.

Responsibilities

Commercial Contract Negotiation & Legal Review

• Lead substantive legal negotiations for client and strategic commercial agreements involving consulting services.
• Lead negotiations for SaaS subscription agreements related to threat intelligence and duty of care services, including end user license agreements.
• Develop and negotiate Data Protection Addendums and other privacy-related documentation.
• Review and advise on complex contractual provisions such as limitation of liability, indemnification, confidentiality, intellectual property, data security, and regulatory compliance.
• Support updates to legal playbooks, fallback positions, and contract standards.
• Provide legal guidance on escalated or non-standard agreements and business risk decisions.
• Review complex IT, software, data processing, and vendor agreements.

Legal Advisory & Risk Management

• Advise internal stakeholders on legal and regulatory risk matters affecting the business.
• Provide legal analysis and recommendations related to governance, compliance, privacy, and operational risk.
• Support escalated data privacy and information security matters.

Governance & Policy Support

• Review and advise on corporate policies, governance frameworks, and compliance initiatives.
• Provide guidance on entity governance matters, compliance obligations, and regulatory requirements.
• Support ethics, compliance, and internal control initiatives in partnership with Legal Operations leadership.

Cross-Functional Collaboration

• Partner closely with Legal Operations, Finance, Sales, Procurement, Information Security, and executive leadership teams.
• Provide practical, business-oriented legal guidance balancing operational realities and risk tolerance.
• Coordinate with outside counsel on specialized matters as needed.

Specialized Legal Support

• Advise on complex vendor and subcontractor negotiations.
• Support acquisition-related NDA review and specialized legal escalations.
• Provide limited support on M&A diligence and strategic transactions.
• Advise on privacy, cybersecurity, and cross-border legal considerations impacting global operations.

Requirements

• Juris Doctor (JD) degree from an accredited law school.
• Active license to practice law in at least one U.S. jurisdiction.
• Minimum 8 years of relevant legal experience including commercial contracting and corporate legal advisory.
• Experience supporting global or cross-border commercial operations.
• Experience with complex commercial negotiations in consulting, professional services, technology, or multi-entity environments.
• Strong understanding of contract law, corporate governance, privacy, and compliance principles.
• Experience advising on data privacy, information security, and vendor risk.
• Ability to balance legal risk with practical business objectives.
• Excellent negotiation, communication, and stakeholder management skills.
• Ability to work independently in a fractional or highly autonomous role.

Preferred Qualifications

• Familiarity with contract lifecycle management (CLM) systems.
• Experience developing or refining contract playbooks and negotiation standards.
• Ability to provide concise, business-oriented legal guidance to executive stakeholders.
• Experience supporting fast-growing organizations and operationally lean legal teams.
• Strong collaboration skills with Legal Operations and cross-functional business teams.
