Overview
This role serves as the organization’s primary legal officer and oversees legal operations, compliance, contracting, and legal support for executive leadership and business units—particularly sales, M&A, and legal HR issues.
The position also functions as a corporate officer with authority as Secretary for the company and its parent entities, providing responsive, strategic leadership in a complex, fast-paced environment.
Responsibilities
Legal Operations
- Oversee and manage all legal matters and legal operations of the organization, including M&A activities.
- Provide strategic legal advice to the executive team and board of directors.
- Develop and implement strategies for legal risk management.
- Lead the 4-person legal and compliance team.
- Monitor and manage legal budgets and expenditures.
- Oversee integration of technology and artificial intelligence (AI) programs into legal operations and company platforms to enhance efficiency and effectiveness.
- Evaluate and implement legal technology solutions to streamline workflows and improve data management.
Compliance
- Develop, implement, and oversee the organization’s compliance program to ensure adherence to applicable laws and regulations.
- Ensure compliance with state-specific laws and regulations, including the California Consumer Privacy Act (CCPA) and Criminal Justice Information Services (CJIS) standards.
- Serve as the primary legal advisor for public safety agencies, ensuring operations meet relevant public safety regulations and standards.
- Conduct regular compliance training and education for employees.
- Monitor and report on compliance risks and issues.
- Work with regulatory agencies and represent the organization in compliance matters.
- Ensure company policies and procedures are up-to-date and effective.
Contracts
- Supervise the drafting, review, and negotiation of all contracts and agreements.
- Ensure contracts are legally sound and comply with company policies.
- Manage the contract lifecycle from initiation to execution and renewal.
- Resolve contract disputes and issues in a timely and effective manner.
- Maintain organized and accessible records of all contractual documents.
Corporate Officer
- Act as a corporate secretary, maintaining company records and meeting minutes.
- Ensure the company’s governance framework is adhered to.
- Support the board of directors in fulfilling their fiduciary duties.
- Manage shareholder relations and communications as requested by the board of directors.
- Advise on corporate structure and strategy.
Support for Sales, Go-to-Market, and Customer Success Teams
- Train team members on relevant changes in the law and funding considerations.
- Provide legal support for sales transactions from lead to close.
- Collaborate with sales and customer success teams to ensure compliance with legal and regulatory requirements throughout the sales process.
- Join sales and customer success teams on calls and in meetings with customers and their legal representatives to ensure accurate responses to procurement questions.
Requirements
- Juris Doctor (JD) degree from a top accredited law school.
- Admittance to the state bar where the company operates.
- Minimum of 10 years of experience in corporate law, commercial contracts, negotiations, and technology licensing, with significant experience in a senior legal leadership role.
- Previous experience working in a SaaS environment.
- Proven track record in legal operations, compliance, and contract management.
- Strong understanding of corporate governance and fiduciary duties.
- Excellent leadership, communication, and interpersonal skills.
- Ability to work effectively in a fast-paced and dynamic environment.
- High ethical standards and integrity in professional matters.
Preferred Qualifications
- 10+ years experience in commercial SaaS licensing environment.
- 7+ years experience in contracting and procurement with public agencies.
- Strong demonstrated experience managing legal teams and external counsel.
- Strong analytical and problem-solving skills in fast-paced, high-volume environment.
- Ability to effectively manage multiple priorities and projects that change daily.
- Experience handling mergers, acquisitions, and other complex transactions.
- Previous experience working in a Private Equity portfolio company capacity.
Location
Remote.
The role primarily works in an office environment but may require travel for meetings, compliance inspections, or legal proceedings. Extended hours and flexibility may be required.
Compensation & Benefits
- Base salary: $200,000 plus bonus, and equity.
