Overview
This role is for a Head of Legal position within a fast-growing insurtech company operating in Latin America. The organization is expanding rapidly and seeks a senior legal professional to provide strategic legal counsel, corporate governance leadership, regulatory oversight, and operational execution across multiple jurisdictions.
The position is open to candidates located in Miami, Mexico City, or Buenos Aires.
Responsibilities
- Provide legal counsel on all company legal matters, including corporate governance for U.S. entities, drafting board and stockholder resolutions, ensuring regulatory compliance, and monitoring ongoing legal and financial obligations.
- Draft, review, and approve legal documentation such as insurance policies, riders, underwriting and claims forms, codes of conduct, and other internal and external documents.
- Review, negotiate, and approve contracts supporting company operations, focusing on agreements with intermediaries, reinsurers, distributors, service providers, and strategic partners.
- Represent the company or oversee its representation in legal matters involving senior management, regulators, counterparties, and other stakeholders.
- Manage relationships with outside counsel, ensuring appropriate scope, quality, cost control, and alignment with legal and business strategies.
- Lead formation of new legal entities, manage corporate structuring initiatives, and oversee intellectual property portfolios including trademarks and brand protection.
- Maintain corporate records such as corporate books, resolutions, minutes, and governance documentation.
- Apply legal research skills and knowledge of insurance law in Latin America to support regional operations and regulatory strategy.
- Stay current on laws and regulations affecting insurance, advertising, data protection, and tax matters; advise the company accordingly.
- Engage with regulators and respond to inquiries, audits, and information requests, coordinating internally and with external advisors.
- Assist in designing, implementing, and monitoring risk management frameworks, including legal and compliance audits.
- Collaborate with internal teams on claims processes to provide legal oversight and ensure compliance and risk mitigation.
Requirements
- Attorney licensed to practice law in the United States preferred, with experience in Latin America, or JD equivalent qualification to practice law in a Latin American country.
- LLM from a U.S. law school preferred.
- Minimum of 7+ years of relevant insurance legal experience.
- Fluency in English and Spanish (verbal and written) required; Portuguese fluency is a plus.
- Experience working in a high-growth or scale-up company is advantageous.
- Experience in international and multicultural environments with geographically dispersed teams.
- Highly motivated, efficient, organized, able to work both independently and collaboratively.
