Overview
An organization specializing in healthcare data interoperability is seeking an interim Head of Legal to serve as the lead legal advisor to the CEO and executive team, with a focus on supporting the commercial organization. This role requires a hands-on, business-embedded legal leader who combines strategic problem-solving with commercial judgment. The position involves close partnership with the CEO and executive team throughout the consulting engagement.
Responsibilities
- Lead negotiation of complex enterprise deals, collaborating directly with sales, customer success, and finance teams.
- Support pricing and packaging strategies for complex SaaS contracts in partnership with the CFO and commercial leaders.
- Participate in board meetings and provide legal counsel to the Board of Directors and its committees as requested.
- Advise on corporate governance, legal documentation, and compliance programs such as HITRUST and SOC 2.
- Lead and develop a small, hands-on legal and compliance team, acting as a working leader and advisor rather than managing a large department.
Requirements
- Experience as a Head of Legal or comparable senior in-house legal role.
- Deep expertise in commercial and enterprise contracting, including negotiating complex deals in highly regulated environments.
- Strong execution orientation; comfortable operating without a large supporting team.
- Demonstrated strategic problem-solving skills applied to real business situations.
- Business-minded judgment balancing legal risk with commercial objectives.
- Comfort and enthusiasm for using AI tools (e.g., Claude) to enhance legal and contracting work.
- Juris Doctor (JD) from an accredited law school and an active license to practice law.
Preferred Qualifications
- Experience with regulatory and healthcare SaaS environments.
- Ability to identify business opportunities related to regulatory changes.
- Background in venture-backed or private equity-backed companies.
- Experience across healthcare verticals such as provider, payer, and/or life sciences.
Software and Tools
- Required: Contract lifecycle management and e-signature tools (e.g., LinkSquares, DocuSign, Salesforce).
- Preferred: AI tools for legal work (e.g., Claude) for contract review, drafting, and research.
