Overview

The organization is seeking an experienced attorney to lead and guide legal matters across corporate governance, commercial, risk, and compliance. This role is part of the operations team and reports to the VP Strategic Finance and Rev Ops. You will manage legal matters and drive the organization’s commercial contracting process while partnering cross-functionally with operations, finance, sales, technology, and product.

Responsibilities

  • Provide legal advice and guidance on corporate governance, contractual matters, and regulatory compliance, ensuring adherence to relevant regulations and laws.
  • Review, draft, and negotiate contracts, agreements, and other legal documents with clients, internal stakeholders, vendors, and other parties.
  • Assist with corporate transactions, including fundraising, mergers and acquisitions, and strategic partnerships.
  • Counsel the product team on issues including data and privacy compliance, commercial contracting, terms and conditions, privacy policies, consumer and financial regulatory compliance, go-to-market strategy, risk, and marketing.
  • Oversee corporate governance matters, including board and shareholder issues (agendas, minutes, consents, and resolutions), equity compensation, intellectual property protection, and data and privacy law compliance.
  • Collaborate with and manage outside counsel on specialized matters, including intellectual property and human resources/employment matters.
  • Draft and update template agreements and corporate documents, and maintain corporate and information security policies and procedures.
  • Represent the organization in legal proceedings, negotiations, and meetings with external parties.
  • Advise on employment matters as they arise to ensure compliance with applicable law.
  • Maintain organized, up-to-date records of legal documents and correspondence, and help enhance legal team processes and compliance frameworks.

Requirements

  • JD from a top law school and active member of the NY State Bar in good standing.
  • 5+ years of experience, with strong primary experience in commercial/technology transactions and secondary experience in privacy law (fintech experience is a plus).
  • Corporate law, contract negotiation, and regulatory compliance preferred.
  • Demonstrated ability to build and maintain positive relationships with internal teams, external clients, and outside counsel.
  • Expertise negotiating, drafting, and modifying key terms of strategic commercial agreements.
  • Practical, solution-oriented legal approach with the ability to identify creative and effective solutions.
  • Ability to communicate complex legal concepts effectively to non-legal stakeholders.
  • Strong ability to operate and communicate remotely.
  • Exceptional judgment and responsiveness; ability to work independently, prioritize tasks, and meet tight deadlines with minimal supervision.

Preferred Qualifications

  • Experience counseling on corporate law and complex contractual/regulatory matters.
  • Comfort operating in a dynamic, fast-paced, collaborative, high-growth environment.

Compensation & Benefits

  • Expected salary range: $125,000 - $175,000 (based on experience and location), plus an equity component.

Location

  • Remote work is available (CST/EST hours).
  • Travel to the NYC office for training and periodic meetings.
  • Must be authorized to work for any employer in the U.S. indefinitely. The organization is unable to sponsor or take over sponsorship of an employment visa at this time.
